This Purchase Order is issued by Iberia Aerospace Systems S.A. to Orbital Engineering Consultancy S.L. for the provision of specialised Aerospace Engineer professional services to be performed in the city of Madrid, Spain. 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Aerospace Engineer services exclusively within the jurisdiction of Madrid, Spain. All deliverables, reports, and technical documentation produced under this Purchase Order shall be submitted to the Buyer’s Madrid headquarters in both digital (PDF/A) and hard-copy format.
5.2 The Aerospace Engineer assigned to this contract must be physically present at the Buyer’s facility in Madrid for a minimum of 80% of contracted hours. Remote work from other locations within Spain is permissible only with prior written approval from the Buyer’s Project Manager.
5.3 Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon completion of Phase II, and 30% upon final acceptance of all deliverables. Invoices shall be issued in EUR and paid via bank transfer to the Supplier’s account in a Spanish financial institution within thirty (30) calendar days of invoice receipt.
5.4 The Supplier warrants that the Aerospace Engineer shall comply with all applicable Spanish labour laws, including the Estatuto de los Trabajadores, and shall maintain full professional liability insurance with a minimum coverage of €2,000,000 valid in Spain.
5.5 All intellectual property, design data, and technical knowledge generated in the course of this Purchase Order shall vest exclusively in the Buyer. The Aerospace Engineer shall sign a non-disclosure agreement (NDA) prior to commencing any work in Madrid.
5.6 In the event of non-performance or material breach, the Buyer reserves the right to terminate this Purchase Order with fourteen (14) days’ written notice. Any termination shall be governed by the Spanish Civil Code and the applicable provisions of the Ley de Contratos del Sector Público where relevant.
5.7 Disputes arising from this Purchase Order shall be resolved by the competent courts of Madrid, Spain, or by arbitration before the Madrid International Arbitration Centre (CIAR) at the user’s election.
