- This Purchase Order constitutes a binding agreement between Valencia Aerospace Industries S.A. (hereinafter "the Buyer") and Orbital Engineering Solutions S.L. (hereinafter "the Supplier") for the provision of specialized Aerospace Engineer professional services to be executed in the Spain Valencia region.
- The Supplier shall ensure that all Aerospace Engineer personnel assigned under this Purchase Order hold valid professional certifications recognized by the Spanish Ministry of Industry, Trade and Tourism, and possess a minimum of eight (8) years of documented experience in aerospace structural, propulsion, or avionics engineering.
- All work related to this Purchase Order shall be performed at the Buyer's premises located in Paterna, within the Spain Valencia metropolitan area, or at such other locations in Spain Valencia as mutually agreed in writing by both parties.
- The Supplier shall comply with all applicable Spanish labor regulations, data protection laws (GDPR and the Spanish Organic Law 3/2018), and aerospace industry safety standards in force in Spain Valencia throughout the term of this Purchase Order.
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice, by bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (PO-2025-VAL-AE-0047) and include the Supplier's CIF number.
- The Supplier warrants that all deliverables produced by the Aerospace Engineer team shall meet the technical specifications outlined in Annex A (attached separately) and shall be free from intellectual property encumbrances. All work product shall become the exclusive property of the Buyer upon full payment.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Valencia, Spain, in accordance with the rules of the Valencia Arbitration Centre, and shall be governed by the laws of the Kingdom of Spain.
- This Purchase Order is valid for acceptance until 14 September 2025. Failure to accept by this date shall render this Purchase Order null and void without further notice.
- The Supplier shall maintain professional liability insurance with a minimum coverage of €2,000,000 per occurrence, valid throughout the Spain Valencia jurisdiction, for the entire duration of the engagement specified in this Purchase Order.
