- This Purchase Order constitutes a binding agreement between Colombo Aerospace & Engineering Solutions (Pvt) Ltd. and the named supplier upon countersignature. All services and equipment described herein are intended to support the work of the designated Aerospace Engineer and associated technical staff operating from the Sri Lanka Colombo facility.
- Delivery of all physical goods (Items 03, 04, and 06) shall be made DDP to the Sri Lanka Colombo office address listed above. The supplier bears all risk of loss until goods are received and signed for by the Chief Procurement Officer or his authorised representative in Sri Lanka Colombo.
- The Aerospace Engineer engagement (Item 01) shall commence no later than 1 July 2025. The supplier guarantees that the Aerospace Engineer shall hold valid professional registration and shall comply with all applicable Sri Lankan labour and immigration regulations for the duration of the contract.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice, provided all deliverables have been accepted in writing. Late payments shall attract interest at 1.5% per month as per Sri Lankan commercial practice.
- All software licences (Item 02) are non-transferable and restricted to use within the Sri Lanka Colombo premises. The supplier warrants that no export-control restrictions apply to the use of these tools by the Aerospace Engineer in Sri Lanka.
- The supplier shall provide a comprehensive warranty of minimum twelve (12) months on all hardware items. Any defective component shall be replaced or repaired at the supplier's cost within fifteen (15) business days of notification from Sri Lanka Colombo.
- This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this Purchase Order shall be resolved by arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act No. 11 of 1995.
- The supplier acknowledges that the Aerospace Engineer may be required to present findings to the Department of Civil Aviation of Sri Lanka. All documentation, reports, and data generated under this Purchase Order shall be made available to the receiving authority upon request.
- Neither party may assign or transfer this Purchase Order without prior written consent of the other party. Subcontracting of any portion of the Aerospace Engineer services requires explicit approval from the Chief Procurement Officer in Sri Lanka Colombo.
- This Purchase Order is valid for acceptance within fourteen (14) calendar days of the issue date. Failure to accept within this period shall render this Purchase Order null and void.
