Terms and Conditions of this Purchase Order

1. Scope of Work: This Purchase Order is issued by Nile Aerospace Engineering & Consultancy Ltd., based in Sudan Khartoum, to procure specialized equipment, components, and professional services required for the ongoing UAV (Unmanned Aerial Vehicle) development programme. All technical specifications have been approved by the lead Aerospace Engineer, Eng. Mahmoud El-Tahir, and are attached as Appendix A to this Purchase Order.
2. Delivery Location: All physical goods shall be delivered to the company's facility at Plot 47, Industrial Area, North Omdurman, Khartoum, Sudan. The supplier shall arrange all logistics, including air freight via Port Sudan International Airport or land transport through the Khartoum customs checkpoint, in accordance with Sudanese import regulations.
3. Payment Terms: Payment shall be made in two instalments: 40% (USD 49,082.30) upon confirmation of this Purchase Order and issuance of the commercial invoice, and the remaining 60% (USD 73,623.45) within 30 days of successful delivery, inspection, and sign-off by the designated Aerospace Engineer on-site in Khartoum. Payment shall be executed via irrevocable Letter of Credit through Bank of Khartoum, Sudan.
4. Quality Assurance: All components must comply with ISO 9001:2015 and applicable aerospace industry standards (AS9100D). The supplier shall provide material certificates, test reports, and traceability documentation for every item listed in this Purchase Order. The Aerospace Engineer team in Sudan Khartoum reserves the right to reject any non-conforming goods at the supplier's expense.
5. Intellectual Property: All designs, specifications, and technical data generated under this Purchase Order remain the exclusive property of Nile Aerospace Engineering & Consultancy Ltd. The supplier shall not disclose, reproduce, or use any proprietary information for any third party without written consent.
6. Warranty: The supplier warrants all delivered goods to be free from defects in material and workmanship for a period of 24 months from the date of delivery in Khartoum. Any warranty claims shall be directed to the supplier's regional representative in the Middle East & Africa division.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting Sudan, port closures, or international trade restrictions. Affected parties must notify the other within 72 hours in writing.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum, Sudan, in accordance with the Sudanese Arbitration Act.
9. Validity: This Purchase Order is valid for 30 calendar days from the date of issue. If the supplier does not confirm acceptance in writing within this period, this Purchase Order shall automatically lapse and become null and void.
