This Purchase Order is issued by Helvetia Aerospace Systems AG, headquartered in Switzerland Zurich, to formally engage the services of a qualified Aerospace Engineer for the design, analysis, and certification support of next-generation composite airframe components. This Purchase Order constitutes a binding contractual instrument under the Swiss Code of Obligations (OR) and governs all terms, deliverables, compensation, and obligations between the Buyer and the Supplier for the scope of work described herein. The engagement of this Aerospace Engineer is critical to the Buyer's ongoing programme to develop lightweight structural solutions compliant with EASA CS-25 and FAA Part 25 airworthiness standards, with all work to be performed at the Buyer's principal engineering facility located in Switzerland Zurich.
The Aerospace Engineer engaged under this Purchase Order shall perform the following professional services at the Buyer's facility in Switzerland Zurich:

- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Switzerland Zurich, Canton of Zurich.
- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Aerospace Engineer. Invoices shall be submitted in Swiss Francs (CHF) to the Buyer's accounts payable department in Switzerland Zurich. Late payments shall accrue interest at the statutory rate as defined under Article 104 of the Swiss Code of Obligations.
- Intellectual Property: All work product, designs, analyses, models, and documentation created by the Aerospace Engineer in the performance of this Purchase Order shall be the sole and exclusive property of Helvetia Aerospace Systems AG. The Aerospace Engineer hereby assigns all intellectual property rights, including but not limited to patents, copyrights, and trade secrets, to the Buyer upon creation.
- Confidentiality: The Aerospace Engineer shall maintain strict confidentiality with respect to all proprietary information, technical data, and programme details disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance and Certification: The Aerospace Engineer warrants that all deliverables shall comply with applicable Swiss aviation regulations, EASA standards, and any additional requirements specified by the Buyer. The Aerospace Engineer shall hold and maintain a valid professional engineering licence recognised by the Swiss Federal Department of the Environment, Transport, Energy and Communications (UVEK).
- Work Location: All services under this Purchase Order shall be performed at the Buyer's engineering facility at Industriestrasse 42, 8005 Switzerland Zurich, unless otherwise agreed in writing by both parties. The Aerospace Engineer shall adhere to all site safety and security protocols in effect at the Switzerland Zurich facility.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Aerospace Engineer for all services rendered and materials procured up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Switzerland Zurich or the broader Swiss Confederation.
- Anti-Corruption: The Aerospace Engineer represents and warrants that no part of the compensation under this Purchase Order has been or will be offered, paid, or promised to any public official in Switzerland Zurich or elsewhere in violation of the Swiss Criminal Code or the OECD Anti-Bribery Convention.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Buyer authorises the engagement of the named Aerospace Engineer for the scope of work described herein, and the Supplier accepts the terms of this Purchase Order and commits to delivering all services in a professional and timely manner at the designated facility in Switzerland Zurich.
