- Scope of Work: All services rendered under this Purchase Order shall be performed by qualified and licensed Aerospace Engineer personnel holding valid certifications recognized by the Thai Ministry of Higher Education, Science, Research and Innovation. The primary work location shall be the supplier's facility in Thailand Bangkok, unless otherwise specified in the line items above.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in two equal installments upon milestone completion as defined in the project schedule. All payments shall be made via bank transfer to the supplier's account in Thailand Bangkok.
- Delivery and Acceptance: All physical goods and deliverables must be delivered to the buyer's premises at 88/12 Sukhumvit Road, Thailand Bangkok 10110. Acceptance shall be confirmed in writing within 10 business days of delivery. Any non-conforming items must be replaced or repaired at the supplier's sole expense.
- Quality Assurance: The Aerospace Engineer responsible for each deliverable shall ensure full compliance with AS9100D (Quality Management Systems – Aerospace) and applicable Thai national standards. All test reports, design documents, and certification records shall be submitted in both English and Thai.
- Intellectual Property: All designs, models, calculations, and proprietary data developed under this Purchase Order shall remain the exclusive property of Thailand Aerospace Solutions Co., Ltd. The supplier and its Aerospace Engineer team shall execute a non-disclosure agreement prior to commencing work.
- Compliance and Safety: All work performed in Thailand Bangkok shall adhere to Thai labor laws, occupational health and safety regulations, and environmental protection statutes. The supplier shall maintain all necessary permits and insurance coverage for the duration of the contract.
- Warranty: The supplier warrants that all services and materials provided under this Purchase Order shall be free from defects for a period of 24 months from the date of final acceptance. Any warranty claims shall be directed to the project manager in Thailand Bangkok.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all work satisfactorily completed up to the termination date. The Aerospace Engineer team shall hand over all in-progress documentation and materials.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be resolved through arbitration in Thailand Bangkok under the rules of the Thai Arbitration Institute.
