5. TERMS AND CONDITIONS

Acceptance: This Purchase Order becomes binding upon written acceptance by the vendor. The Aerospace Engineer services shall commence no earlier than 1 July 2025 at the designated Turkey Ankara facility.
Payment Terms: Payment shall be made in monthly installments within 30 days of invoice submission. All payments shall be processed in Turkish Lira (TRY) via bank transfer to the account specified by the vendor. Late payments shall incur interest at the rate prescribed by the Turkish Commercial Code.
Performance Standards: The Aerospace Engineer shall adhere to all quality management standards (ISO 9001:2015, AS9100D) and shall submit bi-weekly progress reports to the AADIC project management office in Turkey Ankara. Failure to meet deliverable milestones for two consecutive reporting periods shall constitute grounds for contract termination.
Intellectual Property: All designs, analyses, simulations, and documentation produced by the Aerospace Engineer during the term of this Purchase Order shall be the exclusive property of AADIC. The Aerospace Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work at the Turkey Ankara site.
Compliance: The Aerospace Engineer shall comply with all applicable Turkish labor laws, aviation regulations enforced by SHGM, and export control regulations of the Republic of Turkey. Any violation shall result in immediate termination of this Purchase Order without liability to AADIC.
Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and hand over all work-in-progress documentation to AADIC within 15 business days at the Turkey Ankara facility.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Ankara, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC). The governing law shall be the laws of the Republic of Turkey.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Turkey Ankara or the broader region.
