Scope of EngagementThis Purchase Order is issued by Meridian Aerospace Solutions Ltd. to formally engage the services of Dr. Eleanor M. - This Purchase Order constitutes a binding agreement between the parties upon signature. All services shall be rendered in accordance with the specifications, deliverables, and milestones set forth in the attached Statement of Work.
- The Aerospace Engineer shall perform all duties with the skill, care, and diligence expected of a chartered professional engineer registered with the Institution of Mechanical Engineers (IMechE) and shall comply with all applicable United Kingdom aviation regulations, including those issued by the Civil Aviation Authority (CAA) and the European Union Aviation Safety Agency (EASA) as applicable in the post-Brexit regulatory framework.
- All work product, designs, analyses, reports, and intellectual property generated by the Aerospace Engineer in the course of this engagement shall be the sole property of Meridian Aerospace Solutions Ltd. upon full payment of the amounts specified in this Purchase Order.
- Payment shall be made in quarterly instalments within thirty (30) calendar days of receipt of a valid VAT invoice. Payment shall be made via BACS transfer to the bank account designated by the Aerospace Engineer in writing.
- The Aerospace Engineer shall maintain professional indemnity insurance with a minimum cover of £5,000,000 and public liability insurance of £2,000,000 throughout the duration of this Purchase Order. Certificates of insurance shall be provided prior to commencement of work.
- All services shall be performed at the Meridian Aerospace Solutions Ltd. premises in United Kingdom Birmingham, or at such other locations as mutually agreed in writing. The Aerospace Engineer shall adhere to all site safety protocols, security requirements, and confidentiality obligations of the facility.
- Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered up to the effective date of termination, less any amounts already paid.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- The Aerospace Engineer shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 with respect to any personal data processed during the engagement.
- Any amendments, variations, or additions to this Purchase Order must be made in writing and signed by both parties to be valid.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set out in this Purchase Order for the engagement of the Aerospace Engineer at the Birmingham, United Kingdom facility.
