This Purchase Order authorizes the engagement of a qualified Aerospace Engineer to perform the professional engineering services described in the line items above. The Aerospace Engineer shall possess a minimum of ten (10) years of experience in aerospace structural and propulsion systems, hold a valid Professional Engineer (PE) license in the State of Illinois, and demonstrate proficiency in ANSYS, NASTRAN, and CATIA V5/3DEXPERIENCE platforms. All deliverables must conform to AS9100D quality management standards and applicable Federal Aviation Administration regulations. The primary work location for this Purchase Order shall be the Meridian Aerospace & Defense Systems facility located in United States Chicago, with supplementary remote work permitted for computational analysis tasks. The Aerospace Engineer is expected to report to the Meridian Project Management Office no later than June 23, 2025, and shall maintain a minimum on-site presence of four (4) days per week during the active engagement period.
- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Supplier. The Supplier must return a signed copy to the Buyer within five (5) business days of issuance.
- Payment: Invoices shall be submitted bi-weekly upon completion of milestone deliverables. Payment is due Net 30 days from the date of invoice receipt. Late payments shall accrue interest at 1.5% per month.
- Intellectual Property: All designs, models, analyses, and documentation produced under this Purchase Order shall be the sole property of Meridian Aerospace & Defense Systems, Inc. The Aerospace Engineer shall execute a non-disclosure agreement prior to commencing work.
- Compliance: The Aerospace Engineer shall comply with all applicable federal, state (Illinois), and local regulations governing engineering practice in the United States Chicago area, including but not limited to OSHA safety standards and FAA export control requirements (ITAR/EAR).
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the termination date.
- Insurance: The Supplier shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of $1,000,000 for the duration of this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes shall be resolved through binding arbitration in the United States Chicago judicial district.
- Change Orders: Any modification to the scope, schedule, or cost of this Purchase Order must be documented in a written Change Order signed by both parties prior to implementation.
Services under this Purchase Order shall commence on June 23, 2025, and are expected to be completed no later than September 30, 2025. All physical deliverables (printed reports, test specimens, calibration certificates) shall be delivered to the Meridian Aerospace facility at 2100 S. Wacker Drive, Chicago, Illinois 60616. Electronic deliverables shall be transmitted via the Meridian secure file transfer portal. The Aerospace Engineer shall provide weekly progress reports every Friday by 17:00 CST to the designated Project Manager.
