- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the vendor. The Aerospace Engineer shall not commence work until a signed copy of this Purchase Order is returned to Pacific Aerospace Systems, Inc. within ten (10) business days of the issue date.
- Performance Location: All engineering services under this Purchase Order shall be rendered at the designated facility in United States Los Angeles, California, or at such other location mutually agreed upon in writing. Remote work is permitted for no more than one (1) day per week, provided all proprietary data remains on company-issued hardware.
- Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the structural integrity assessment (Item 002), and 30% upon final acceptance of all deliverables. Net-30 payment terms apply to each invoice.
- Intellectual Property: All work product, designs, analyses, models, and documentation created by the Aerospace Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of Pacific Aerospace Systems, Inc. The Aerospace Engineer assigns all rights, title, and interest therein.
- Confidentiality: The Aerospace Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and classified data encountered during the engagement. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Compliance: The Aerospace Engineer shall hold and maintain a valid California Professional Engineer license and shall comply with all FAA, DOT, and California Division of Occupational Safety and Health (Cal/OSHA) regulations applicable to aerospace engineering work in United States Los Angeles.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Aerospace Engineer shall be compensated for all hours worked and approved expenses incurred through the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of Los Angeles County, United States Los Angeles.
- Insurance: The vendor shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of $1,000,000, naming Pacific Aerospace Systems, Inc. as an additional insured.
