This Purchase Order is issued by Meridian Aerospace Solutions, Inc. to Stratos Engineering & Design Group LLC for the provision of specialized Aerospace Engineer services. - Scope of Work: The Aerospace Engineer services described herein are governed by the Statement of Work (SOW) attached as Exhibit A to this Purchase Order. Any deviation from the approved scope requires a written change order signed by both parties.
- Performance Location: All on-site engineering activities, design reviews, and fabrication oversight shall take place at the Meridian Aerospace Solutions facility located in United States New York City, Brooklyn, NY 11201. Remote work may be conducted at the vendor's office in Manhattan, United States New York City, subject to data security protocols.
- Intellectual Property: All designs, calculations, models, and documentation produced by the Aerospace Engineer under this Purchase Order shall be the sole property of Meridian Aerospace Solutions, Inc. The vendor shall execute a full IP assignment upon final delivery.
- Compliance: The Aerospace Engineer shall comply with all applicable federal, New York State, and New York City regulations, including but not limited to FAA Advisory Circulars, AS9100D quality management standards, and NYC Department of Buildings requirements where applicable.
- Confidentiality: The vendor and all assigned Aerospace Engineer personnel shall sign a Non-Disclosure Agreement (NDA) prior to accessing any proprietary data. Confidential information shall be protected for a period of five (5) years following project completion.
- Payment Schedule: 30% upon execution of this Purchase Order, 40% upon completion of Phase 2 deliverables (structural and propulsion analysis), and 30% upon final acceptance of all documentation. Invoices are payable Net 30 days from receipt.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the vendor shall be compensated for all work completed and documented through the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes shall be resolved through binding arbitration in United States New York City under the rules of the American Arbitration Association.
- Insurance: The vendor shall maintain professional liability insurance of no less than $5,000,000 per occurrence and general liability insurance of $2,000,000, with Meridian Aerospace Solutions named as an additional insured.
- Warranty: The Aerospace Engineer warrants that all engineering deliverables shall be free from material defects in analysis, calculation, and design for a period of twelve (12) months from the date of final acceptance.
This Purchase Order is authorized and approved by the undersigned on behalf of Meridian Aerospace Solutions, Inc. The vendor acknowledges receipt and acceptance of all terms, conditions, and specifications outlined in this document.
