The Aerospace Engineer engaged under this Purchase Order shall be responsible for the following primary deliverables: (a) completion of a full propulsion system architecture document including thrust vector control specifications; (b) delivery of finite element analysis reports demonstrating structural margins under thermal-vacuum conditions; (c) preparation of three (3) regulatory compliance packages suitable for submission to the FAA Office of Aerospace Medicine and the California Department of Industrial Relations; (d) on-site supervision of prototype assembly and integration at the Meridian facility located in United States San Francisco; and (e) participation in a minimum of two (2) full-scale flight simulation test campaigns. All deliverables shall be submitted in both digital (PDF and native CAD/CAE file formats) and hard-copy form to the project manager at the United States San Francisco headquarters.
- Payment Terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted monthly or upon completion of each major milestone, whichever occurs first. Payment shall be made via ACH transfer to the account designated by the Aerospace Engineer.
- Performance Period: Services shall commence on July 1, 2025, and shall continue through December 15, 2025, unless extended by mutual written agreement. The Aerospace Engineer shall dedicate a minimum of 40 hours per week to this engagement.
- Intellectual Property: All work product, designs, analyses, and documentation created by the Aerospace Engineer in the performance of this Purchase Order shall be the sole and exclusive property of Meridian Aerospace Solutions, Inc. The Aerospace Engineer hereby assigns all rights, title, and interest therein.
- Confidentiality: The Aerospace Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed during the course of this engagement. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Compliance with Law: The Aerospace Engineer warrants that all services shall be performed in full compliance with all applicable federal, state, and local laws of the United States, including but not limited to regulations enforced within the United States San Francisco municipal boundaries and the State of California.
- Insurance: The Aerospace Engineer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and general liability insurance of $1,000,000 for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Aerospace Engineer shall be compensated for all services rendered and approved deliverables completed through the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in the United States San Francisco County, in accordance with the rules of the American Arbitration Association.
- Independent Contractor Status: The Aerospace Engineer is engaged as an independent contractor and not as an employee of Meridian Aerospace Solutions, Inc. The Aerospace Engineer shall be solely responsible for all applicable federal and state tax obligations, including self-employment tax and California state income tax withholding.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Aerospace Engineer professional services as described herein, to be performed in and around the United States San Francisco area.
