This Purchase Order is issued by the Tashkent Aerospace Research Institute (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Aerospace Engineer for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026. The Aerospace Engineer shall be physically stationed at the Buyer's primary facility located in Uzbekistan Tashkent, specifically at the Tashkent Aerospace Research Institute campus on Amir Temur Avenue.
The Aerospace Engineer engaged under this Purchase Order shall be responsible for the following duties and deliverables:

All services rendered under this Purchase Order shall be performed exclusively at the Buyer's operational site in Uzbekistan Tashkent. The Aerospace Engineer shall report to the Chief Technical Officer of the Tashkent Aerospace Research Institute on a daily basis. The work environment includes the structural engineering laboratory, the propulsion test bay, the avionics integration suite, and the quality assurance office, all located within the institute's premises in Tashkent, Uzbekistan.
The Aerospace Engineer is expected to work a standard schedule of five (5) days per week, Monday through Friday, from 08:00 to 17:00 local time (UTC+5), in accordance with the labor regulations of the Republic of Uzbekistan. Any overtime or weekend work required for critical aerospace testing milestones in Uzbekistan Tashkent shall be compensated at 1.5 times the standard hourly rate as stipulated in the applicable employment contract.
4. Payment Terms
- Payment shall be made in monthly installments, due within fifteen (15) business days following the end of each calendar month, via bank transfer to the account specified in Section 1 of this Purchase Order.
- All payments shall be denominated in Uzbek Som (UZS) and processed through the Bank of Uzbekistan. The Buyer shall withhold applicable personal income tax (PIT) at the rate prescribed by the Tax Code of the Republic of Uzbekistan.
- A 10% retention shall be held from each monthly payment and released in full upon successful completion of the twelve-month engagement and final acceptance of all deliverables by the Buyer's technical committee in Uzbekistan Tashkent.
- Late payments shall accrue interest at a rate of 0.5% per calendar day on the outstanding balance, in accordance with the Civil Code of the Republic of Uzbekistan.
- Invoices must reference this Purchase Order number (PO-UZ-TASH-2025-0472) to be processed by the Buyer's accounts payable department.
- Qualifications: The Aerospace Engineer must hold a minimum of a Master's degree in Aerospace Engineering, Mechanical Engineering, or a closely related discipline from an accredited university, and possess a minimum of eight (8) years of professional experience in aerospace systems design, testing, or operations.
- Confidentiality: The Aerospace Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary data, satellite design specifications, propulsion formulations, and flight software accessed during the engagement at the Uzbekistan Tashkent facility. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Compliance: All work shall comply with the technical standards of the Uzbekistan Civil Aviation Authority (UCA), International Organization for Standardization (ISO) 9001:2015, and applicable aerospace industry standards including AS9100D.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Aerospace Engineer for all services rendered up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, through arbitration under the rules of the Arbitration Center of the Chamber of Commerce and Industry of Uzbekistan, seated in Tashkent, Uzbekistan. The governing law shall be the law of the Republic of Uzbekistan.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Uzbekistan Tashkent.
- Intellectual Property: All work product, designs, test data, and documentation created by the Aerospace Engineer in the course of this engagement shall be the exclusive property of the Tashkent Aerospace Research Institute.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Aerospace Engineer services at the Uzbekistan Tashkent facility. This document constitutes a binding agreement between the parties upon execution.
