This Purchase Order is issued by Corporación Aeroespacial del Caribe, C.A., headquartered in Venezuela Caracas, to formally authorize the procurement of specialized professional services rendered by a certified Aerospace Engineer and associated technical team. - Scope of Work: The services described in this Purchase Order shall be performed exclusively by a licensed and certified Aerospace Engineer holding valid credentials recognized by the Venezuelan Ministry of Popular Power for Science, Technology, and Innovation. All deliverables must be submitted to the project office located in Venezuela Caracas within the timelines specified in the attached Statement of Work (SOW-2025-012).
- Payment Terms: Payment shall be made within forty-five (45) calendar days from the date of invoice receipt. Payment will be processed via international wire transfer to the account designated by the supplier. All transactions are denominated in US Dollars (USD) in accordance with the Central Bank of Venezuela (BCV) exchange rate regulations applicable to professional services contracts.
- Delivery and Performance Location: All on-site services, inspections, workshops, and deliverable handovers shall take place at the buyer's facility in Venezuela Caracas, Chacao, unless otherwise agreed in writing. The Aerospace Engineer is responsible for obtaining any necessary work permits, visas, or entry documentation required to perform duties within the territory of Venezuela.
- Intellectual Property: All designs, analyses, reports, and technical documentation produced by the Aerospace Engineer under this Purchase Order shall become the exclusive property of Corporación Aeroespacial del Caribe, C.A., upon full payment. The supplier retains no rights to reproduce, distribute, or license said materials without prior written consent.
- Confidentiality: The Aerospace Engineer and all associated personnel shall maintain strict confidentiality regarding all proprietary data, system specifications, and operational details encountered during the engagement in Venezuela Caracas. A separate Non-Disclosure Agreement (NDA-2025-003) is incorporated by reference into this Purchase Order.
- Warranty and Liability: The Aerospace Engineer warrants that all services shall be performed in a professional and workmanlike manner consistent with industry best practices. The supplier's total liability under this Purchase Order shall not exceed the grand total amount stated herein.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the Aerospace Engineer for all services rendered and expenses incurred up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising herefrom shall be resolved through binding arbitration in Venezuela Caracas under the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting operations in Venezuela Caracas.
By signing below, the parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The undersigned confirm that this document constitutes a binding procurement agreement for the engagement of the Aerospace Engineer services as described herein, to be executed at the project site in Venezuela Caracas.
