1. This Purchase Order constitutes a binding agreement between ZimAero Engineering & Consulting (Pvt) Ltd and SkyForge Aerospace Solutions (Pvt) Ltd for the provision of Aerospace Engineer services as described herein. All terms are governed by the laws of the Republic of Zimbabwe.
2. The Aerospace Engineer shall report to the ZimAero Engineering Campus located in Zimbabwe Harare on a full-time basis, Monday through Friday, from 08:00 to 17:00, with availability for emergency call-outs related to airworthiness matters.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. All payments shall be processed in United States Dollars (USD) via electronic funds transfer to the vendor's designated account at a licensed commercial bank in Harare, Zimbabwe.
4. The Aerospace Engineer shall comply with all applicable regulations of the Civil Aviation Authority of Zimbabwe (CAZ), the Zimbabwe National Standards (ZNS), and the International Civil Aviation Organization (ICAO) standards relevant to aerospace engineering practice in Zimbabwe Harare.
5. Intellectual property generated during the course of this Purchase Order engagement, including but not limited to design drawings, computational models, and technical reports produced by the Aerospace Engineer, shall remain the exclusive property of ZimAero Engineering & Consulting (Pvt) Ltd.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Aerospace Engineer shall complete all in-progress deliverables and submit a comprehensive handover report to the project manager in Harare.
7. The vendor shall ensure that the Aerospace Engineer holds a valid professional registration with the Engineering Institution of Zimbabwe (EIZ) and possesses a minimum of ten (10) years of post-qualification experience in aerospace structural and propulsion engineering.
8. All work performed under this Purchase Order shall be subject to quality assurance inspections conducted by ZimAero's internal audit team at the Zimbabwe Harare facility. Non-conformances must be rectified within five (5) working days at the vendor's cost.
9. This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
10. Any disputes arising from this Purchase Order shall be resolved through arbitration in Harare, Zimbabwe, in accordance with the Arbitration Act [Chapter 24:15] of Zimbabwe.
