This Purchase Order is issued by Meridian Development Group Pty Ltd to Harbour & Stone Architects Pty Ltd for the provision of comprehensive architectural design and documentation services for a mixed-use residential and commercial development located at 78 Flinders Lane, Melbourne, Victoria, Australia. 1. This Purchase Order is governed by the laws of the State of Victoria, Australia. All disputes arising from this Purchase Order shall be resolved in accordance with the Commercial Arbitration Act 2011 (Victoria).
2. The Architect shall maintain professional indemnity insurance with a minimum cover of AUD 5,000,000 per claim throughout the duration of the engagement and for a period of seven (7) years following practical completion, in compliance with the Architects Registration Board of Victoria requirements.
3. All architectural drawings, documents, and intellectual property produced under this Purchase Order shall become the sole property of Meridian Development Group Pty Ltd upon full payment of the Purchase Order value.
4. The Architect shall comply with all applicable Australian Standards, the National Construction Code (NCC 2022), the Building Act 1993 (Vic), and the planning scheme of the City of Melbourne.
5. Payment shall be made in accordance with the stage milestones outlined above. Invoices shall be submitted within five (5) business days of stage completion. Payment is due within thirty (30) days of receipt of a valid tax invoice.
6. The Architect shall not subcontract any portion of the architectural services without prior written consent from Meridian Development Group Pty Ltd.
7. Any variations to the scope of architectural services must be approved in writing via a formal variation order before work commences. Variations exceeding 10% of the original Purchase Order value require a revised Purchase Order.
8. The Architect shall provide weekly progress reports to the project manager at Meridian Development Group Pty Ltd, Melbourne office, during active design and construction phases.
9. This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
10. The Architect acknowledges that all work shall be performed in Melbourne, Victoria, Australia, and shall comply with all local council requirements, heritage overlays, and environmental regulations applicable to the site.
Note: This Purchase Order is issued in accordance with Meridian Development Group Pty Ltd's procurement policy. The Architect is required to confirm acceptance of all terms by signing below and returning a copy to [email protected]. All amounts are in Australian Dollars (AUD) inclusive of GST where applicable. This Purchase Order supersedes all prior quotations, proposals, or verbal agreements between the parties regarding the architectural services for Project MEL-RES-2025-019.
