This Purchase Order is issued by Green Horizon Development Ltd. (hereinafter referred to as the "Purchaser") to Studio Dhaka Architects & Planners Ltd. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and consultancy services for the Green Horizon Residential & Commercial Complex, a 14-storey mixed-use development to be constructed at Plot No. 28, Sector 7, Uttara, Dhaka, Bangladesh. The Architect shall deliver all services in accordance with the Bangladesh National Building Code (BNBC 2020), the Dhaka City Corporation (DCC) development regulations, and the guidelines issued by the Department of Architectural Services, Bangladesh.
The scope of work under this Purchase Order encompasses the following phases of architectural deliverables:

Payment against this Purchase Order shall be made in milestone-based instalments as follows: 20% advance upon signing of the Purchase Order, 25% upon completion of Phase II, 25% upon completion of Phase III, 20% upon completion of Phase IV, and the remaining 10% upon final handover of as-built documents and completion of Phase V. All payments shall be processed via bank transfer to the Architect's designated account at Sonali Bank, Gulshan Branch, Dhaka, Bangladesh. The Purchaser reserves the right to withhold payment for any deliverable that does not meet the quality standards specified in the attached Scope of Work annexure.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh, including the Contract Act, 1872, and the Bangladesh National Building Code (BNBC 2020).
- The Architect warrants that all designs and drawings shall comply with the Dhaka City Corporation (DCC) zoning regulations, fire safety codes, and environmental clearance requirements issued by the Department of Environment, Bangladesh.
- The Architect shall maintain professional indemnity insurance with a minimum coverage of BDT 50,000,000 for the duration of the project and shall provide a certificate of insurance upon request.
- All intellectual property rights in the final architectural drawings, BIM models, and design documents shall vest in the Purchaser upon full and final payment under this Purchase Order.
- The Architect shall not subcontract any portion of the architectural services without prior written consent from the Purchaser. Any approved subcontractor shall be based in Bangladesh and registered with the Institute of Bangladesh Architects (IBA).
- Disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh. The seat of arbitration shall be Dhaka, and the language of arbitration shall be English.
- The Architect shall submit progress reports to the Purchaser on a bi-weekly basis and attend all project coordination meetings scheduled by the Purchaser's project management team in Dhaka.
- Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or civil unrest in Bangladesh, shall extend the project timeline proportionally without penalty to either party.
- This Purchase Order becomes effective upon signature by both parties and remains valid until the completion of all deliverables and the expiry of the 12-month defect liability period.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Architect confirms availability to commence Phase I work within seven (7) calendar days of the Purchase Order issue date.
