- Governing Law: This Purchase Order and all associated Architect services shall be governed by and interpreted in accordance with the Civil Code of Quebec and the laws of the Province of Quebec, Canada. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the ADR Institute of Canada.
- Professional Standards: The Architect shall perform all services in a professional and workmanlike manner consistent with the standards of practice established by the Ordre des architectes du Québec. The Architect warrants that all drawings, plans, and specifications shall comply with the current Quebec Building Code, the National Building Code of Canada, and all applicable by-laws of the City of Canada Montreal.
- Payment Schedule: Invoicing shall be issued upon completion of each phase as outlined in Section 4. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 5% per annum as prescribed under the Quebec Interest Act.
- Intellectual Property: Upon full payment, all drawings, designs, models, and documentation produced by the Architect specifically for this project in Canada Montreal shall become the property of Beaumont Residential Developments Inc. The Architect retains the right to use general design concepts and methodologies in future projects.
- Insurance: The Architect shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence and $10,000,000 in the aggregate, as well as commercial general liability insurance, throughout the duration of the engagement. - Change Orders: Any modification to the scope of Architect services beyond what is described in this Purchase Order shall require a written Change Order signed by both parties. No additional work shall be performed without prior written authorization.
- Confidentiality: The Architect agrees to treat all project information, site data, and business details as confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the date of termination, plus reasonable demobilization costs.
