  1. Governing Law: This Purchase Order and all associated architectural services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Toronto, Ontario, under the rules of the Arbitration Institute of the Ontario Bar Association.
  2. Professional Standards: The Architect shall perform all services in a professional and workmanlike manner consistent with the standards of practice established by the Architectural Institute of British Columbia (AIBC) and the Ontario Association of Architects (OAA). The Architect warrants that all deliverables shall comply with the Ontario Building Code, the National Building Code of Canada, and all applicable City of Toronto municipal by-laws.
  3. Intellectual Property: All architectural drawings, plans, models, and design documents produced under this Purchase Order shall become the sole property of Meridian Development Group Inc. upon full payment. The Architect retains the right to use the project for portfolio and marketing purposes with prior written consent from the Buyer.
  4. Insurance: The Architect shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD per occurrence, as well as commercial general liability insurance of $2,000,000 CAD, with Meridian Development Group Inc. named as an additional insured. Certificates of insurance shall be provided prior to commencement of services in Toronto.
  5. Change Orders: Any modification to the scope of architectural services beyond what is specified in this Purchase Order must be documented in a written Change Order signed by both parties. No additional fees shall be incurred without prior written authorization from the Buyer's project manager in Toronto.
  6. Confidentiality: The Architect agrees to treat all project information, site data, and proprietary details of the Lakeshore development as confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Architect shall be compensated for all architectural services rendered up to the date of termination, less any applicable deductions for incomplete deliverables.
  8. Compliance with Canadian Regulations: The Architect shall ensure full compliance with the Ontario Accessibility for Ontarians with Disabilities Act (AODA), the City of Toronto's Green Roof By-law, the Toronto and Region Conservation Authority (TRCA) shoreline setback requirements, and all environmental regulations applicable to construction along the Lake Ontario waterfront in Toronto, Canada.
  9. Warranty: The Architect warrants that all design documents shall be free from errors and omissions for a period of two (2) years from the date of substantial completion of the project in Toronto. Any rectification of design errors shall be performed at no additional cost to the Buyer.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of architectural services outlined in this Purchase Order. This document constitutes a binding agreement for the provision of professional architectural services for the Lakeshore Mixed-Use Residential Tower project located in Toronto, Ontario, Canada.
