This Purchase Order is issued by Beijing Huayuan Construction & Development Group Co., Ltd. (hereinafter referred to as the "Purchaser") to engage the services of a licensed Architect firm for the comprehensive architectural design and planning of the CBD Tower Phase II development project located in the Central Business District of China Beijing. The Architect shall be responsible for all phases of architectural design, from conceptual development through to construction documentation, in full compliance with the national building codes of the People's Republic of China, the local regulations of the Beijing Municipal Commission of Housing and Urban-Rural Development, and all applicable environmental and seismic design standards specific to the China Beijing region.

2.1 Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the Construction Law of the People's Republic of China. Any disputes arising from this Purchase Order related to the Architect's services in China Beijing shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in accordance with its then-current rules.
2.2 Payment Schedule: Payment for the Architect's services shall be made in four installments: 30% upon execution of this Purchase Order, 30% upon approval of Schematic Design, 30% upon delivery of complete Construction Drawings, and 10% upon successful completion of the As-Built Documentation. All payments shall be made via bank transfer to the Architect's designated account in China Beijing within fifteen (15) business days of invoice receipt.
2.3 Intellectual Property: All architectural drawings, design documents, 3D models, and related intellectual property created by the Architect under this Purchase Order shall become the exclusive property of the Purchaser upon full payment. The Architect retains the right to reference the project in professional portfolios subject to the Purchaser's prior written consent.
2.4 Compliance with China Beijing Regulations: The Architect warrants that all deliverables shall comply with the Beijing Municipal Planning Standards, the GB 50016-2014 Fire Code, the GB 50011-2010 Seismic Design Code, and all requirements issued by the Beijing Municipal Planning and Natural Resources Commission. Failure to comply shall result in mandatory rework at the Architect's own cost.
2.5 Liquidated Damages: In the event that the Architect fails to deliver any milestone on the agreed schedule, the Architect shall pay liquidated damages of 0.5% of the total contract value per day of delay, capped at 10% of the total contract value.
2.6 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the China Beijing region, government-mandated work stoppages, or epidemics, provided that written notice is given within 48 hours of the event occurring.
2.7 Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, site plans, and proprietary information exchanged under this Purchase Order. This obligation shall survive for a period of five (5) years following project completion.
3. Acceptance and SignaturesBy signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Architect for the CBD Tower Phase II project in China Beijing. This document constitutes a binding agreement effective from the date of the last signature.
