TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between Shanghai Horizon Development Group Co., Ltd. (Buyer) and Shanghai Meridian Architectural Design Studio Co., Ltd. (Architect / Supplier) for the provision of professional Architect services in connection with the development project located in China Shanghai.
The Architect shall perform all services in strict compliance with the National Building Code of the People's Republic of China, the Shanghai Municipal Urban Planning Regulations, and all applicable local bylaws governing construction in China Shanghai.
All Architect deliverables shall be submitted in both paper format and digital format (AutoCAD DWG, Revit RVT, and PDF) to the Buyer's project office in China Shanghai within the timelines specified in the attached Project Schedule (Annex A).
Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Architect's designated account in China Shanghai within thirty (30) calendar days of receipt of a valid VAT invoice. No payment shall be due until the corresponding phase deliverable has been accepted in writing by the Buyer's project manager.
The Architect warrants that all design work shall be original, free from intellectual property infringement, and shall comply with the Copyright Law of the People's Republic of China. The Architect shall indemnify the Buyer against any third-party claims arising from the Architect's design work.
Any changes to the scope of Architect services, project specifications, or site conditions in China Shanghai must be documented through a formal Change Order signed by both parties before additional work commences. Change Orders shall be priced at the rates set forth in Annex B of this Purchase Order.
The Architect shall maintain professional liability insurance with a minimum coverage of CNY 20,000,000 for the duration of the engagement and shall provide a certificate of insurance to the Buyer prior to the commencement of Phase 1.
This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai, in the Chinese language.
The Architect shall not subcontract any portion of the Architect services without the prior written consent of the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
This Purchase Order is valid for a period of ninety (90) days from the date of issue. If the Architect does not accept this Purchase Order within the validity period, the Buyer reserves the right to issue a revised Purchase Order or engage an alternative Architect firm in China Shanghai.
