This Purchase Order authorizes the engagement of a licensed Architect and their professional team to deliver comprehensive architectural design, planning, and project management services for a mixed-use residential and commercial development located in the Zona Rosa district of Colombia Bogotá. The Architect shall be responsible for producing all preliminary and final design documents, structural coordination drawings, interior design concepts, and full compliance with the municipal building regulations (Código de Construcción) enforced by the Secretaría de Planeación Distrital of Colombia Bogotá.

- Advance Payment (30%): COP 107,457,000 due within 10 business days of Purchase Order acceptance, to be deposited into the Architect's designated bank account in Colombia Bogotá.
- Milestone Payments (50%): Disbursed in four equal installments of COP 44,757,500 upon completion and written approval of each major design phase (Feasibility, Concept, Development, and Permit Submission).
- Retention (20%): COP 71,638,000 held until final project completion, as-built delivery, and successful municipal inspection by the authorities of Colombia Bogotá.
- All payments shall be made via bank transfer (transferencia electrónica) to the account specified in the Architect's commercial invoice. Late payments shall accrue interest at the maximum rate permitted under Colombian commercial law (Ley 1116 de 2006).
- This Purchase Order is governed by the commercial code of the Republic of Colombia and applicable regulations of Colombia Bogotá. Any disputes shall be resolved through arbitration before the Cámara de Comercio de Bogotá.
- The Architect warrants that all design deliverables shall comply with the current Código de Construcción, the Plan de Ordenamiento Territorial (POT) of Colombia Bogotá, and all applicable environmental and accessibility regulations (Ley 1618 de 2013).
- The Architect shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of COP 500,000,000 for the duration of the project.
- Intellectual property of all design documents, drawings, and 3D models produced under this Purchase Order shall transfer to the Buyer upon full payment. The Architect retains the right to display the project in their professional portfolio with prior written consent.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Architect shall be compensated for all work completed and documented up to the termination date.
- The Architect shall provide a minimum of 5 business days' notice before any site visit in Colombia Bogotá and shall submit weekly progress reports in Spanish and English.
- Force majeure events, including but not limited to natural disasters affecting Colombia Bogotá, shall suspend obligations without penalty for a period not exceeding 60 days.
