This Purchase Order is issued by Constructora Andina del Valle S.A.S. to formally engage the services of the above-named Architect for the comprehensive design, planning, and technical oversight of the Residencial Los Robles mixed-use development project located in the Envigado corridor, Medellín, Antioquia, Colombia. The Architect shall be responsible for the following deliverables and professional services:

All payments shall be made in Colombian Pesos (COP) via bank transfer to the Architect's designated account. The payment schedule for this Purchase Order is structured as follows:

• Advance Payment (30%): COP 142,478,700 – Due within 10 business days of the signing of this Purchase Order and the Architect's submission of a valid proforma invoice.
• Design Completion (25%): COP 118,732,250 – Due upon approval and acceptance of the full architectural design documentation package by the Buyer's technical committee.
• Permit Approval (15%): COP 71,239,350 – Due upon receipt of the official construction permit (Licencia de Construcción) issued by the municipal authority in Medellín.
• Construction Supervision (20%): COP 94,985,800 – Payable in 18 equal monthly installments of COP 5,277,000 during the active construction phase.
• Final Handover (10%): COP 47,492,900 – Due upon completion of the as-built documentation and final project acceptance.

1. This Purchase Order is governed by the Commercial Code of Colombia (Código de Comercio) and applicable national and municipal regulations in force in the city of Medellín, Antioquia, Colombia.
2. The Architect warrants that all professional services rendered under this Purchase Order shall comply with the Colombian National Technical Standards (NTC), the Código de Construcción de Medellín, and all applicable environmental and urban planning regulations of the Alcaldía de Medellín.
3. The Architect shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of COP 500,000,000 for the duration of the engagement.
4. Any modifications to the scope of work must be documented in a written addendum to this Purchase Order, signed by both parties, prior to the execution of the additional services.
5. The Architect shall not subcontract any portion of the architectural design work without prior written consent from the Buyer. Supervision support personnel may be assigned at the Architect's discretion.
6. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation before the Centro de Conciliación de la Cámara de Comercio de Medellín. If mediation fails, the dispute shall be submitted to the competent civil courts of Medellín, Antioquia, Colombia.
7. This Purchase Order becomes effective upon signature by both parties and remains valid until the full completion of all deliverables specified herein.
8. All intellectual property rights in the architectural designs, drawings, and documentation produced under this Purchase Order shall vest in the Buyer upon full payment of the Grand Total.
