All prices are quoted in United States Dollars (USD) and are inclusive of applicable taxes as per the fiscal regulations of the Democratic Republic of Congo. Payment shall be made via bank transfer to the Architect's designated account at Banque Commerciale du Congo (BCC), Kinshasa branch.
Payment for the architectural services outlined in this Purchase Order shall be made in the following installments, subject to satisfactory completion and written acceptance of each deliverable by the Purchaser's Project Manager in Kinshasa:

5.1 This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Democratic Republic of Congo, including the Code de Commerce and applicable provisions of the Civil Code. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Centre d'Arbitrage de Kinshasa.
5.2 The Architect warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a licensed professional architect registered with the OARDC in Kinshasa. The Architect shall maintain adequate professional indemnity insurance throughout the duration of the contract.
5.3 The Architect shall ensure that all design deliverables comply with the urban planning zoning regulations of the Ville de Kinshasa, the environmental impact assessment requirements of the Ministry of Environment, and the seismic and flood-resistance standards applicable to the Kintambo riverfront area.
5.4 The Purchaser reserves the right to request up to three (3) rounds of design revisions at no additional cost. Revisions beyond this limit shall be billed at the Architect's standard hourly rate of USD 85.00 per hour.
5.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the date of termination, less any amounts already paid.
5.6 All intellectual property rights in the architectural drawings, models, and documentation produced under this Purchase Order shall vest in the Purchaser upon full payment. The Architect retains the right to reference the project in professional portfolios with prior written consent from the Purchaser.
5.7 The Architect shall employ a minimum of 60% of its professional staff who are residents of the Democratic Republic of Congo, in accordance with local content requirements applicable to professional services contracts in Kinshasa.
