This Purchase Order is issued by the Addis Ababa Urban Development Authority to formally engage the services of a licensed Architect and their professional team for the complete architectural design, planning, and technical documentation of the Addis Ababa Municipal Community Health Center. The Architect shall be responsible for all phases of architectural design as outlined below, in full compliance with the Ethiopian Building Code, the Addis Ababa City Planning and Construction Regulations, and the professional standards set forth by the Ethiopian Architects Association.

3.1 This Purchase Order constitutes a binding agreement between the Addis Ababa Urban Development Authority and the named Architect firm upon signature by both parties. All services shall be performed in Ethiopia, with the primary work location in Addis Ababa.
3.2 The Architect warrants that all professional services shall be rendered in accordance with the Ethiopian Architects Association Code of Professional Conduct and all applicable federal and regional regulations of Ethiopia.
3.3 The Architect shall maintain professional liability insurance with a minimum coverage of ETB 10,000,000 for the duration of the project. Proof of insurance shall be submitted prior to the commencement of Phase I.
3.4 All intellectual property, drawings, and documentation produced under this Purchase Order shall become the sole property of the Addis Ababa Urban Development Authority upon full payment. The Architect shall not reuse project-specific designs for any other client without written consent.
3.5 The Architect shall comply with all Ethiopian labor laws, tax obligations, and professional licensing requirements. Any change in the lead Architect assigned to this project requires prior written approval from the AAUDA.
3.6 Delays in delivery of any phase beyond the agreed timeline, not attributable to force majeure or client-directed changes, shall incur a penalty of 0.5% of the phase fee per calendar day of delay, capped at 10% of the phase fee.
3.7 Disputes arising from this Purchase Order shall first be subject to mediation in Addis Ababa. If unresolved within 30 days, the matter shall be referred to the competent courts of Addis Ababa, Ethiopia.
Payment shall be made in five installments corresponding to the completion and acceptance of each phase. The Architect shall submit a detailed invoice with supporting documentation to the AAUDA Finance Department. Payment shall be processed within thirty (30) calendar days of invoice approval. All amounts are denominated in Ethiopian Birr (ETB) and are subject to applicable Ethiopian withholding tax as per the Federal Revenue Authority regulations.
This Purchase Order is issued under the authority of the Addis Ababa Urban Development Authority and is valid for acceptance within thirty (30) days of the issue date. The Architect firm shall confirm acceptance by signing and returning a copy of this document to the AAUDA Procurement Office in Addis Ababa.
