This Purchase Order is issued by Groupe Immobilier Rhône-Alpes S.A.S. to engage the services of Cabinet d'Architecture Moreau & Associés, a registered architectural practice based in Lyon, France, for the complete design, planning, and technical coordination of a mixed-use residential and commercial development project located in the 3rd arrondissement of Lyon, France. The Architect shall deliver all phases of architectural design in full compliance with the French Urban Planning Code (Code de l'urbanisme), the local Plan Local d'Urbanisme (PLU) of the City of Lyon, and all applicable regulations of the Métropole de Lyon.
The scope of work encompasses preliminary concept design, schematic design, detailed architectural drawings, structural coordination, interior design specifications, landscape integration, energy performance modelling (DPE compliance), accessibility compliance (Norme NF P98-351), and full support through the building permit application process (permis de construire) before the Service Urbanisme of the Ville de Lyon. The Architect shall also attend all mandatory coordination meetings with the project's structural engineer, MEP consultants, and the local building control authority (CTC) in Lyon.

Payment shall be made in accordance with the following milestone schedule, with each invoice due within thirty (30) calendar days of receipt of a valid invoice issued by the Architect:

All payments shall be made via bank transfer (virement bancaire) to the account of Cabinet d'Architecture Moreau & Associés, IBAN: FR76 3000 4000 0312 3456 7890 123, BIC: BNPAFRPPXXX. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France.
- Architect's Professional Liability: The Architect shall maintain professional indemnity insurance (assurance responsabilité civile professionnelle) with a minimum coverage of € 5,000,000 per claim, in compliance with the regulations of the Ordre des Architectes. A certificate of insurance shall be provided prior to commencement of work.
- Intellectual Property: All architectural drawings, designs, models, and documentation produced under this Purchase Order shall become the exclusive property of the Purchasing Party upon full payment. The Architect retains the right to display the completed project in their professional portfolio, subject to prior written consent of the Purchasing Party.
- Compliance with Local Regulations: The Architect warrants that all deliverables shall comply with the PLU of Lyon, the regulations of the Métropole de Lyon, the RE2020 energy standard, the French Accessibility Code, and any heritage or environmental constraints applicable to the site in the 3rd arrondissement of Lyon.
- Confidentiality: Both parties agree to treat all project information, site data, and commercial terms as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Architect shall be compensated for all work completed and approved up to the date of termination, plus a reasonable demobilisation fee not exceeding 5% of the remaining contract value.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Lyon, France.
- Subcontracting: The Architect shall not subcontract any portion of the architectural services without the prior written consent of the Purchasing Party. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for architectural services to be performed in Lyon, France. This document constitutes a binding agreement between the Purchasing Party and the Architect.
