Payment against this Purchase Order shall be made in monthly progress instalments, invoiced by the Architect at the end of each calendar month. Invoices must reference this Purchase Order number (PO-FRM-2025-0487) and the applicable line-item reference. Payment shall be effected by bank transfer to the IBAN specified in Section 1 within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code. All financial transactions under this Purchase Order shall be conducted in Euros (EUR) through French banking channels.
5. Terms & Conditions- This Purchase Order constitutes a binding agreement between Provence Construction Group SAS and the Architect named herein, governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille.
- The Architect warrants that all design work shall comply with the French Accessibility Code (Code de la Construction et de l'Habitation), the thermal regulations (RE2020), and the specific heritage and coastal-zone constraints applicable to the France Marseille metropolitan area.
- The Architect shall maintain professional indemnity insurance with a minimum coverage of € 5,000,000 per claim, valid throughout the duration of this Purchase Order and for a further ten (10) years following project completion, in accordance with French professional liability requirements for registered architects.
- All intellectual property rights in the architectural drawings, models, and documentation produced under this Purchase Order shall vest in Provence Construction Group SAS upon full payment. The Architect retains the right to reference the project in professional portfolios subject to prior written approval.
- The Architect shall attend all mandatory coordination meetings with the Mairie de Marseille urban planning department, the regional environmental authority (DREAL PACA), and the project's structural and MEP engineers. A minimum of two on-site visits per week during the execution phase in France Marseille is required.
- Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Architect shall be compensated for all work completed and documented up to the termination date, as certified by the project director.
- All communications, revisions, and change orders relating to this Purchase Order must be made in writing and signed by both parties. Verbal instructions shall not constitute a valid amendment to the scope or pricing defined herein.
- The Architect shall comply with all French data protection regulations (RGPD / GDPR) regarding any personal data processed in connection with this Purchase Order.
