Payment shall be made in Euro (EUR) via bank transfer to the Architect's designated account in France Paris. Invoices shall be issued in accordance with French invoicing regulations (Article 286 of the CGI). The Buyer shall settle each invoice within thirty (30) calendar days of receipt. A late payment penalty of 1.5% per month shall apply as stipulated by French law (Article L441-10 du Code de commerce). Payment milestones are aligned to the completion of each architectural phase as outlined in Section 3 above.

  1. Professional Registration: The Architect shall maintain valid registration with the Ordre des Architectes de France and hold a current DPLG (Diplôme d'État d'Architecte) or equivalent qualification throughout the duration of this Purchase Order.
  2. Insurance: The Architect shall carry professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of 1,000,000 EUR, valid in France Paris and throughout the project duration.
  3. Intellectual Property: All architectural drawings, designs, and documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment, in compliance with French intellectual property law (Code de la propriété intellectuelle).
  4. Confidentiality: Both parties agree to maintain strict confidentiality regarding project details, site plans, and commercial terms, in accordance with French data protection regulations (RGPD / GDPR).
  5. Compliance with Paris Regulations: The Architect guarantees that all deliverables shall conform to the specific architectural and heritage guidelines of the City of Paris, including the requirements of the Architecte des Bâtiments de France (ABF) where applicable to the 6th Arrondissement.
  6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, as defined under French civil law (Article 1218 du Code civil).
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall be submitted to the competent courts of Paris, France, or to arbitration under the rules of the CCI Paris International Arbitration Centre, at the Buyer's election.
  8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of early termination, the Buyer shall pay for all architectural services rendered up to the date of termination.
