This Purchase Order is issued by the Accra Metropolitan Development Authority to formally engage the services of a licensed Architect firm for the design, planning, and architectural supervision of a mixed-use commercial and residential development project located in the East Legon district of Ghana Accra. Acceptance: This Purchase Order shall become binding upon written acceptance by the Architect firm within seven (7) calendar days of the date of issue. Failure to respond within this period shall be construed as rejection of the order.
Payment Terms: Payment shall be made in four (4) milestones: 25% upon contract signing, 30% upon approval of full architectural drawings, 30% upon completion of construction supervision (month 12), and 15% upon final handover. All payments shall be made via bank transfer to the account specified by the Architect firm, domiciled in Ghana Accra.
Compliance: The Architect shall ensure all deliverables comply with the Building and Planning Regulations, 2018 (L.I. 2403), the Ghana Standards Authority specifications, and all applicable zoning by-laws of the Accra Metropolitan Assembly governing development in Ghana Accra.
Licensing: The Lead Architect must hold a valid practising certificate issued by the Ghana Architects Registration Board (GARB). A copy of the certificate must be attached to the acceptance of this Purchase Order.
Intellectual Property: All architectural drawings, BIM models, and design documents produced under this Purchase Order shall become the exclusive property of the Accra Metropolitan Development Authority upon full payment. The Architect retains the right to use the work for portfolio purposes with prior written consent.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Architect shall be compensated for all work completed and documented up to the termination date.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Ghana Accra. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the Arbitration Act, 2010 (Act 798) of Ghana, with the seat of arbitration in Accra.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. All proceedings shall take place in the courts of Ghana Accra.
Insurance: The Architect firm shall maintain professional indemnity insurance of not less than GHS 5,000,000.00 for the duration of the engagement, with the Accra Metropolitan Development Authority named as an additional insured party.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government policy changes affecting construction in Ghana Accra, or public health emergencies, provided written notice is given within fourteen (14) days of the event.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for Architect services to be delivered in Ghana Accra.
