- This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Islamic Republic of Iran and applicable commercial regulations in Iran Tehran.
- The Architect warrants that all deliverables shall comply with the Iranian National Building Code, Tehran Municipality zoning bylaws, and seismic design standards (Standard 2800) applicable to the Tehran metropolitan area.
- The Architect shall maintain professional liability insurance with a minimum coverage of 5,000,000,000 IRR for the duration of the project.
- All intellectual property rights in the architectural drawings, designs, and documentation produced under this Purchase Order shall vest in the Purchasing Party upon full payment.
- The Architect shall not subcontract any portion of the architectural services without prior written consent from the Purchasing Party.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran International Arbitration Center.
- The Architect shall submit weekly progress reports to the Purchasing Party and shall attend bi-weekly coordination meetings at the Tehran project site.
- Force majeure events, including but not limited to natural disasters affecting Iran Tehran, shall be addressed per Article 239 of the Iranian Civil Code.
- This Purchase Order is valid for a period of 60 calendar days from the date of issue. Failure to accept within this period shall render this document null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Architectural Services to be performed in Iran Tehran. This document constitutes a binding agreement between the Purchasing Party and the Architect firm.
