1. Description of Purchase Order — Architect ServicesThis Purchase Order is issued by the Jerusalem Municipal Development Authority (hereinafter referred to as the "Purchaser") to Studio Ariel Architecture & Design Ltd. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and consultation services in the city of Israel Jerusalem. This Purchase Order constitutes a binding contractual agreement between the parties and governs all terms, conditions, deliverables, and payment obligations related to the engagement of the Architect for the project described herein.

Payment for the Architect services outlined in this Purchase Order shall be made in New Israeli Shekels (NIS) via bank transfer to the account designated by the Architect. The payment schedule is as follows: 25% upon execution of this Purchase Order, 30% upon approval of the architectural drawings by the Jerusalem Planning Committee, 30% upon completion of the construction supervision phase, and 15% upon final handover and acceptance of all deliverables. All payments are due within thirty (30) calendar days of the issuance of a valid invoice by the Architect.
4. Project Timeline and MilestonesThe Architect shall commence work within fourteen (14) days of the effective date of this Purchase Order. The initial feasibility study and site survey in Israel Jerusalem shall be completed within sixty (60) days. Full architectural drawings and permit documentation shall be submitted to the Jerusalem Municipal Planning Office within one hundred and twenty (120) days. The construction supervision phase shall span twelve (12) months from the date of construction commencement. The Architect shall provide bi-weekly progress reports to the Purchaser throughout the duration of the engagement.
5. Legal and Regulatory ComplianceThis Purchase Order is governed by and shall be interpreted in accordance with the laws of the State of Israel. The Architect shall comply with all applicable regulations of the Israeli Ministry of Construction and Housing, the Jerusalem Municipal Planning and Building Ordinance, the Israeli Building Code, and the Standards of the Israeli Standards Institution (SII). The Architect warrants that all services rendered under this Purchase Order shall be performed in a professional, diligent, and workmanlike manner consistent with the standards of practice expected of a licensed Architect operating in Israel Jerusalem. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Jerusalem, Israel.
6. Cancellation and TerminationEither party may terminate this Purchase Order by providing thirty (30) days written notice to the other party. In the event of termination by the Purchaser, the Architect shall be compensated for all services rendered and expenses incurred up to the date of termination. In the event of termination by the Architect without just cause, the Architect shall refund any advance payments received in excess of the value of services already performed. All intellectual property rights in the architectural designs produced under this Purchase Order shall vest in the Purchaser upon full payment.
7. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Architect in Israel Jerusalem. This Purchase Order is valid for a period of one hundred and eighty (180) days from the date of issue, after which it shall lapse unless renewed in writing by both parties.
