3. Description of Architectural Services

This Purchase Order is issued by Gruppo Immobiliare Lombarda S.r.l. to engage the services of Studio Architettonico Rossi & Partners S.a.s. for the complete architectural design, planning, and technical coordination of a mixed-use residential and commercial development located at Via Savona 112, 20144 Milan (MI), Italy. The Architect shall be responsible for all phases of design from conceptual development through to construction documentation, in full compliance with the Milan Municipal Building Regulations (Regolamento Edilizio del Comune di Milano), the Regional Urban Planning Code (Piano di Governo del Territorio — PGT), and all applicable national Italian building codes (D.M. 37/2008, D.P.R. 380/2001 as amended).

5. Payment Terms

1. Payment shall be made in Euro (EUR) via bank transfer to the account designated by the Architect firm, in accordance with Italian invoicing regulations (D.Lgs. 55/2005).
2. 30% advance payment upon signature of this Purchase Order and commencement of the Conceptual Design phase.
3. 25% upon approval and delivery of the Preliminary Design Package.
4. 20% upon successful submission of the Permit-to-Build dossier to the Comune di Milano.
5. 15% upon delivery of the complete Executive Drawing Set.
6. 10% shall be released in equal monthly installments during the Construction Supervision phase, subject to satisfactory progress reports.
7. 5% final retention shall be released upon issuance of the Certificato di Agibilità and handover of all as-built documentation.
8. All invoices are payable within 30 days of receipt. Late payments shall accrue interest at the rate established by the European Commission's reference rate plus 8 percentage points, in compliance with EU Directive 2011/7/EU.

6. Terms and Conditions

1. This Purchase Order is governed by the laws of the Italian Republic. Any disputes shall be resolved by the competent courts of Milan (Tribunale di Milano), or by arbitration before the Camera di Commercio di Milano, Monza-Brianza e Lodi, at the parties' mutual election.
2. The Architect warrants that all design work shall comply with the professional standards set forth by the Ordine degli Architetti, Pianificatori, Paesaggisti e Conservatori di Milano and shall carry full professional liability insurance for the duration of the engagement.
3. All intellectual property rights in the architectural drawings, models, and documentation produced under this Purchase Order shall vest in the Purchasing Entity upon full payment. The Architect retains the right to display the completed project in professional portfolios subject to the Purchasing Entity's prior written consent.
4. The Architect shall maintain all necessary professional registrations, insurance policies, and compliance with data protection regulations (GDPR / D.Lgs. 196/2003) throughout the term of this engagement in Milan.
5. Any variation to the scope of work must be agreed in writing via a formal Variation Order signed by both parties before execution. No additional fees shall be claimed for work not expressly authorized under this Purchase Order or its approved variations.
6. The Architect shall provide weekly progress updates and shall attend bi-weekly coordination meetings at the project site in Milan or at the Purchasing Entity's offices in Via Montenapoleone.
7. This Purchase Order becomes effective upon countersignature by both parties and remains valid until the completion of all services described herein, including the final certification phase.
