This Purchase Order is issued by the Comune di Roma to formally engage the services of a licensed Architect and their associated design team for the comprehensive architectural planning, design development, and technical documentation of the renovation and adaptive reuse project located in the historic centre of Italy Rome. The Architect shall be responsible for all phases of design work, including but not limited to feasibility studies, schematic design, design development, construction documentation, and on-site supervision during the execution phase. All deliverables must comply with the current Italian building regulations (D.P.R. 380/2001 – Testo Unico dell'Edilizia), the local urban planning code of the Municipality of Rome (Piano Regolatore Generale di Roma), and the heritage preservation guidelines issued by the Soprintendenza Capitolina ai Beni Culturali, given the protected status of the property situated in the historic fabric of Italy Rome.

Payment against this Purchase Order shall be made in milestone instalments aligned to the completion and formal acceptance of each phase deliverable by the Buyer's technical office. A 30% advance payment shall be released upon signature of this Purchase Order and confirmation of the Architect's professional liability insurance (RC professionale) with a minimum coverage of EUR 2,000,000. Subsequent payments of 20% per completed phase shall be due within 30 calendar days of written acceptance. The final 10% retention shall be released upon completion of the 12-month warranty period. All payments shall be made via bank transfer to the account designated by Studio Architettonico Bianchi & Partners S.r.l. in accordance with Italian public procurement payment regulations (Legge 136/2010).
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Architect firm for the scope of services described herein. Any modification to scope, timeline, or deliverables must be documented in a written variation order signed by both parties.
- The Architect warrants that all design work shall comply with the Italian Civil Code (Codice Civile, Articles 2222–2234 regarding professional liability), the national building regulations, and all applicable municipal bylaws of the Municipality of Rome, Italy.
- The Architect shall maintain valid professional registration with the Ordine degli Architetti, Pianificatori, Paesaggisti e Conservatori della Provincia di Roma and shall provide proof of registration upon request.
- All intellectual property rights in the design documents, drawings, and specifications produced under this Purchase Order shall vest in the Buyer upon full payment. The Architect retains the right to reference the project in professional portfolios with prior written consent.
- The Architect shall coordinate with all statutory authorities in Italy Rome, including the Ufficio Tecnico del Comune, the Soprintendenza Capitolina, and the local fire safety authority (Vigili del Fuoco), and shall bear the cost of any design revisions necessitated by authority comments.
- Confidentiality: Both parties agree to treat all project information, site data, and commercial terms as strictly confidential in accordance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR).
- Dispute resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Rome, Italy, in accordance with the provisions of the Italian Code of Civil Procedure. In the absence of a mediated resolution, the competent court shall be the Tribunale di Roma.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting the city of Rome, Italy.
- The Architect shall provide weekly progress reports and attend monthly coordination meetings at the project site in Italy Rome or at the Buyer's offices in Via di San Basilio 83, Roma.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Italian Republic.
