This Purchase Order is issued by Société Immobilière du Plateau SARL to formally engage the services of the above-named Architect firm for the design, planning, and full architectural supervision of the Plateau Business Tower Project, a 22-storey mixed-use commercial and residential development located on Boulevard de Vridi in the Plateau district of Abidjan, Ivory Coast. The Architect shall be responsible for all phases of architectural design, from conceptual sketches through to construction documentation, as well as on-site supervision during the construction period.

- Payment shall be made in CFA Francs (XOF) via bank transfer to the Architect's designated account at Ecobank Côte d'Ivoire, Abidjan branch.
- 20% advance payment upon execution of this Purchase Order and receipt of a signed professional engagement letter from the Architect.
- 30% upon approval of Schematic Design deliverables by the project owner.
- 25% upon submission and approval of full Construction Documentation.
- 25% shall be released in equal monthly installments during the Construction Phase Supervision period, contingent upon satisfactory monthly progress reports.
- All payments are subject to a 18% withholding tax (retenue à la source) as mandated by Ivorian tax law, which the Architect shall declare to the Direction Générale des Impôts (DGI) in Abidjan.
- Payment terms: Net 30 days from invoice date. Late payments shall accrue interest at the statutory rate set by the Banque Centrale des États de l'Afrique de l'Ouest (BCEAO).
- This Purchase Order constitutes a binding agreement between the Issuing Entity and the Architect for the scope of work described herein. Any modification to scope, timeline, or compensation must be documented in a written change order signed by both parties.
- The Architect warrants that all deliverables shall comply with the Ivorian building code, seismic design provisions applicable to the Abidjan coastal zone, and the environmental impact assessment requirements of the Ministère de l'Environnement et du Développement Durable.
- The Architect shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of 500,000,000 XOF throughout the duration of this engagement.
- All intellectual property rights in the architectural drawings, models, and specifications produced under this Purchase Order shall vest in the Issuing Entity upon full payment. The Architect retains the right to display the completed project in professional portfolios subject to the owner's written consent.
- The Architect shall ensure that all sub-consultants (structural, MEP, landscape) engaged under this Purchase Order are duly licensed in Ivory Coast and registered with the relevant professional orders in Abidjan.
- Disputes arising from this Purchase Order shall be resolved through mediation in Abidjan, Ivory Coast, in accordance with the Ivorian Code of Civil Procedure. If mediation fails, the matter shall be submitted to the competent commercial court of Abidjan.
- This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire (Ivory Coast). All notices shall be delivered in writing to the addresses stated above.
- The Architect shall comply with all applicable Ivorian labor laws, including the protection of workers' rights on the construction site in Abidjan, and shall ensure that no child labor or forced labor is used in the production of any deliverable.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Architect shall be compensated for all work completed and documented up to the termination date, less any amounts already paid.
By signing below, both parties acknowledge that this Purchase Order for Architect services in Abidjan, Ivory Coast, has been reviewed, understood, and agreed upon in all respects. This document, together with the attached Scope of Work and Fee Schedule, forms the complete agreement between the parties.
