1. Scope of Purchase Order – Architectural Services in Japan Kyoto

This Purchase Order is issued by Higashiyama Heritage Development Co., Ltd. to Katsura Architectural Studio, LLC for the provision of comprehensive Architect services in connection with the restoration and adaptive reuse of a traditional machiya townhouse complex located in the Higashiyama district of Japan Kyoto. The Architect shall deliver all design, engineering coordination, regulatory compliance, and project management services as specified herein, in full accordance with the Building Standards Act of Japan, the Cultural Properties Protection Act, and all applicable municipal ordinances of the City of Kyoto.

3. Terms and Conditions
  1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Architect (Katsura Architectural Studio, LLC) within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
  2. Payment Schedule: Payment shall be made in four (4) installments: 25% upon execution of this Purchase Order, 30% upon approval of schematic design, 30% upon issuance of construction drawings, and 15% upon completion of the post-occupancy warranty period. All payments shall be made via bank transfer to the account designated by the Architect in Japan Kyoto.
  3. Architect's Obligations: The Architect shall maintain a valid registration with the Japan Institute of Architects and the Kyoto Prefectural Architects Association throughout the duration of this engagement. The Architect shall ensure that all design work complies with the Kyoto City Urban Planning Regulations, the Fire Service Act, and the specific heritage preservation guidelines applicable to the Higashiyama district.
  4. Intellectual Property: All drawings, models, specifications, and design documents produced under this Purchase Order shall become the exclusive property of Higashiyama Heritage Development Co., Ltd. upon full payment. The Architect retains the right to reference the completed project in professional portfolios subject to prior written consent from the Buyer.
  5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, site conditions, and proprietary information exchanged in connection with this Purchase Order. This obligation shall survive termination of the contract for a period of five (5) years.
  6. Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, typhoons, or volcanic activity common to the Japan Kyoto region), government-mandated closures, or other events beyond reasonable control, provided that the affected party notifies the other within forty-eight (48) hours.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation through the Japan Institute of Architects dispute resolution panel in Kyoto. If unresolved within sixty (60) days, the matter shall be referred to the Kyoto District Court under the jurisdiction of Japan Kyoto.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Civil Code of Japan and the Building Standards Act.
  9. Subcontracting: The Architect shall not subcontract any portion of the architectural services without prior written approval from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
  10. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Architect shall deliver all work-in-progress documentation.
Note: This Purchase Order is issued in accordance with the internal procurement policies of Higashiyama Heritage Development Co., Ltd. and the regulatory framework governing architectural practice in Japan Kyoto. The Architect acknowledges that the project site is located within a designated Traditional Buildings Preservation District (Machiya Preservation Zone) and that all design decisions must be reviewed by the Kyoto City Heritage Preservation Committee prior to construction commencement. 4. Authorisation and Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Architectural Services in Japan Kyoto.
