This Purchase Order is issued by Kansai Metropolitan Development Co., Ltd. to engage the services of Osaka Nihon Architectural Design Office (ONADO) for the comprehensive architectural design, planning, and regulatory compliance of a mixed-use commercial and residential building located in Chuo-ku, Japan Osaka. The Architect shall be responsible for all phases of design from conceptual planning through to construction documentation, in full compliance with the Building Standards Act (Kenchiku Kijun Hou), the Fire Service Act, and all applicable Osaka City urban planning and zoning ordinances.

- This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Civil Code of Japan and the Building Standards Act applicable to the Japan Osaka metropolitan area.
- The Architect shall maintain professional liability insurance with a minimum coverage of 500,000,000 JPY throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All architectural deliverables produced under this Purchase Order shall be the exclusive intellectual property of the Buyer upon full payment. The Architect retains the right to reference the project in professional portfolios with prior written consent from the Buyer.
- Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the Architect. Invoices are due within 30 days of receipt. Late payments shall accrue interest at the statutory rate of 1.5% per annum as prescribed by the Late Payment Interest Act of Japan.
- The Architect shall comply with all safety, environmental, and labor regulations applicable in Japan Osaka, including the Labor Standards Act and the Act on the Rational Use of Resources.
- Any changes to the scope of architectural services under this Purchase Order must be documented in a written Change Order signed by both parties. No verbal modifications shall be binding.
- The Architect warrants that all design work shall comply with the seismic design standards (Shindan Kijun) mandated for the Japan Osaka region, including the 2016 revised Building Standards Act seismic provisions.
- Disputes arising from this Purchase Order shall be resolved through mediation under the Japan Architectural Institute (JIA) dispute resolution procedures before escalation to the Osaka District Court.
- This Purchase Order is valid for a period of 90 days from the date of issue. If not accepted and signed by the Architect within this period, it shall automatically lapse.
