This Purchase Order is issued by Almaty Development Group LLP (hereinafter referred to as the "Purchaser") to Steppe Design & Architecture Bureau LLP (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design and consultancy services for the Almaty Riverside Commercial Complex project located in Kazakhstan Almaty. Payment under this Purchase Order shall be made in Tenge (KZT) via bank transfer to the Architect's designated account in Kazakhstan Almaty. The payment schedule is structured as follows:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and the Law of Kazakhstan "On Architectural, Planning and Construction Activity." All disputes arising from this Purchase Order relating to the Architect's services in Kazakhstan Almaty shall be resolved through the Almaty City Arbitration Court.
- Architect's Obligations: The Architect shall perform all services in strict compliance with the Kazakhstani State Building Codes (SNiP), Almaty municipal zoning regulations, and the specific requirements outlined in this Purchase Order. The Architect shall maintain professional liability insurance with a minimum coverage of KZT 50,000,000 throughout the duration of the engagement.
- Intellectual Property: All architectural drawings, designs, models, and documentation created by the Architect under this Purchase Order for the project in Kazakhstan Almaty shall become the exclusive property of the Purchaser upon full payment. The Architect retains the right to reference the project in professional portfolios with prior written consent.
- Timeline: The Architect shall complete all design phases within 6 months from the date of this Purchase Order and provide site supervision for a period of 18 months. Delays attributable to the Architect shall incur a penalty of 0.1% of the total contract value per calendar day of delay.
- Revisions: The Architect shall include up to three (3) rounds of design revisions per phase at no additional cost. Additional revisions requested by the Purchaser beyond the included rounds shall be billed at the Architect's standard hourly rate of KZT 25,000 per hour.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Kazakhstan Almaty, government-imposed restrictions, or pandemics, provided that the affected party notifies the other within 72 hours.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the termination date, and all completed design documents shall be delivered to the Purchaser.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, financial terms of this Purchase Order, and proprietary information exchanged during the engagement of the Architect in Kazakhstan Almaty.
By signing below, both parties acknowledge that this Purchase Order for Architect services in Kazakhstan Almaty has been reviewed, understood, and accepted in its entirety. This document, together with any attached schedules and specifications, forms the complete agreement between the Purchaser and the Architect for the scope of work described herein.
