This Purchase Order is issued by Eastgate Properties Ltd. to engage the above-named Architect firm to provide comprehensive architectural design, planning, and project management services for the construction of a six-storey mixed-use commercial and residential building located at Nairobi, Kenya (Plot L.R. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order relating to the Architect's services in Nairobi, Kenya shall be resolved through arbitration under the Arbitration Act, 1995 (Cap. 49), with the seat of arbitration in Nairobi.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Architect. Milestone payments are structured as follows: 20% upon signing, 30% upon approval of Detailed Design, 40% in equal monthly instalments during the Construction Phase, and 10% upon delivery of As-Built Drawings. All payments shall be made via bank transfer to the Architect's designated account in Nairobi.
- Compliance: The Architect warrants that all deliverables shall comply with the Kenya Building Code, NCCG Development Control Regulations, NEMA requirements, and the Standards of Kenya (SKS) as applicable to the Nairobi metropolitan area. The Architect shall hold a valid Practising Certificate issued by the Kenya Institute of Architects (KIA) for the duration of this engagement.
- Intellectual Property: All architectural drawings, designs, models, and documentation produced under this Purchase Order for the Nairobi project shall become the exclusive property of Eastgate Properties Ltd. upon full payment. The Architect retains the right to use the work for portfolio purposes with prior written consent.
- Insurance & Indemnity: The Architect shall maintain Professional Indemnity Insurance of not less than KES 10,000,000 for the duration of the project and shall indemnify the Client against any claims arising from design errors, omissions, or professional negligence in the Nairobi project.
- Termination: Either party may terminate this Purchase Order by giving thirty (30) days' written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the date of termination, and all work-in-progress drawings for the Nairobi site shall be handed over.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government policy changes in Nairobi, or civil unrest, provided written notice is given within seven (7) days of the event.
- Confidentiality: The Architect shall treat all project information, site data, and commercial details of the Nairobi development as strictly confidential and shall not disclose them to any third party without written consent from Eastgate Properties Ltd.
- Subcontracting: The Architect shall not subcontract any portion of the architectural services without prior written approval from the Client. Any approved subcontractor shall be based in or operate within Kenya, Nairobi, and shall be bound by the same terms as this Purchase Order.
- Tax Compliance: The Architect shall ensure all applicable Kenyan taxes, including VAT, Withholding Tax (WHT) at 5% on professional services, and any local authority levies applicable in Nairobi, are correctly declared and remitted to the Kenya Revenue Authority (KRA).
