This Purchase Order is issued by Grupo Inmobiliario del Valle, S.A. de C.V. (hereinafter referred to as the "Buyer") to formally request and authorize the professional services of an Architect, specifically Arq. Carlos Eduardo Ramírez Vega and his associated team at Estudio de Arquitectura Ramírez & Asociados, S.C. (hereinafter referred to as the "Architect" or "Seller"), for the design, planning, and architectural supervision of a mixed-use commercial and residential development project located in the Colonia Juárez district of Mexico, Mexico City.
The Architect shall be responsible for the complete architectural design process, including but not limited to: conceptual design development, schematic design, design development, construction documentation, permitting coordination with the Secretaría de Desarrollo Urbano y Vivienda (SEDUVI) of Mexico City, and on-site construction supervision. All deliverables must comply with the Reglamento de Construcciones para el Distrito Federal, the current Normas Oficiales Mexicanas (NOM) applicable to building design, and all municipal zoning regulations in force in Mexico, Mexico City.

Payment for the Architect services outlined in this Purchase Order shall be made in accordance with the following milestone schedule, all amounts denominated in Mexican Pesos (MXN) and payable via bank transfer to the account designated by Estudio de Arquitectura Ramírez & Asociados, S.C.:
- 30% Advance Payment: Due upon execution of this Purchase Order and commencement of the Conceptual Design phase (Item 01).
- 25% Milestone Payment: Due upon approval of Schematic Design deliverables (Item 02) by the Buyer's project committee.
- 25% Milestone Payment: Due upon delivery of complete Construction Documentation (Item 03) and successful submission of permitting documents (Item 04).
- 15% Monthly Retainer: Payable monthly during the Construction Supervision period (Item 05), due on the 5th business day of each month.
- 5% Final Payment: Due upon completion of As-Built Documentation (Item 07) and formal project handover.
All invoices must include the corresponding CFDI (Comprobante Fiscal Digital por Internet) as required by the Servicio de Administración Tributaria (SAT) of Mexico. Late payments shall accrue interest at the rate established by the Ley de Instituciones de Crédito, applicable in Mexico, Mexico City.

- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Federal District (now Mexico City) and the applicable commercial laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved through arbitration in Mexico, Mexico City, in accordance with the rules of the Centro de Arbitraje de la Cámara de Comercio de México.
- Professional Liability: The Architect warrants that all services shall be performed in a professional, competent, and diligent manner consistent with the standards of practice established by the Colegio de Arquitectos de la Ciudad de México. The Architect shall maintain professional liability insurance with a minimum coverage of MXN 10,000,000 for the duration of the project.
- Intellectual Property: All architectural drawings, designs, models, and documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Architect retains the right to display the completed project in professional portfolios subject to the Buyer's written approval.
- Compliance with Local Regulations: The Architect certifies that all design work shall comply with the current building codes, zoning regulations, accessibility standards (NOM-001-SEDE), and environmental regulations in force in Mexico, Mexico City. The Architect is solely responsible for ensuring regulatory compliance of all submitted documentation.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project information, financial terms of this Purchase Order, and proprietary data exchanged during the engagement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Architect services rendered up to the date of termination, plus any non-cancellable third-party costs.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies as may be declared in Mexico, Mexico City.
