1. This Purchase Order is governed by the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.
2. The Architect warrants that all design work shall comply with the Dutch Building Act (Bouwbesluit 2012), the Amsterdam Municipal Regulations, and all applicable EU directives, including the Energy Performance of Buildings Directive (EPBD 2018/2001).
3. The Architect shall maintain professional liability insurance of no less than €5,000,000 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
4. All intellectual property rights in the architectural drawings, BIM models, and design documents produced under this Purchase Order shall vest in Van der Berg & Partners B.V. upon full payment, subject to the Architect's right of moral attribution as recognized under Dutch copyright law (Auteurswet).
5. The Architect shall not subcontract any portion of the architectural services without prior written consent from the Purchaser. Any approved subcontractor shall be based in the Netherlands or the European Economic Area.
6. Delays in the Architect's delivery of any phase beyond the agreed schedule shall entitle the Purchaser to liquidated damages of 0.1% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
7. This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Architect shall be compensated for all work completed and accepted up to the date of termination.
