This Purchase Order is issued by Meridian Construction & Development Ltd. to engage the services of a licensed Architect and their professional team to deliver comprehensive architectural design, planning, and project management services for the construction of a 12-storey mixed-use commercial and residential complex located in the Maitama District, Nigeria Abuja, Federal Capital Territory. The Architect shall be responsible for all design phases from conceptual planning through to construction supervision, ensuring full compliance with the Federal Capital Territory (FCT) Development and Planning Authority (FCTDPA) regulations, the National Building Code of Nigeria, and all applicable local by-laws governing development in Nigeria Abuja.

1. This Purchase Order constitutes a binding agreement between Meridian Construction & Development Ltd. (hereinafter "the Client") and Adewale & Partners Architectural Studio Ltd. (hereinafter "the Architect") for the provision of architectural services in Nigeria Abuja, FCT.
2. The Architect warrants that all services rendered shall be performed in a professional and workmanlike manner, in strict accordance with the standards of practice established by the Architects Registration Council of Nigeria and the Nigerian Institute of Architects (NIA).
3. All architectural drawings, designs, and documentation produced under this Purchase Order shall become the exclusive property of the Client upon full payment of the corresponding invoice.
4. The Architect shall maintain professional indemnity insurance with a minimum cover of ₦500,000,000 throughout the duration of this engagement in Nigeria Abuja.
5. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Architect. Late payments shall attract interest at the rate of 1.5% per month as stipulated under Nigerian commercial law.
6. The Architect shall submit a detailed project schedule within seven (7) days of accepting this Purchase Order and shall provide monthly progress reports to the Client's project management team.
7. Any variation or change order to the scope of work defined in this Purchase Order must be agreed in writing by both parties before execution. No additional fees shall be claimed for variations not pre-approved in writing.
8. The Architect shall comply with all environmental, safety, and planning regulations applicable to construction projects in Nigeria Abuja, including but not limited to FCTDPA guidelines, NEMA requirements, and the National Building Code.
9. This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising shall be resolved through arbitration in Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
10. The Architect shall not subcontract any portion of the architectural services without prior written consent from the Client. Any approved subcontractor shall remain under the Architect's full professional supervision and liability.
11. Confidentiality: The Architect shall treat all project information, site data, and client business details as strictly confidential and shall not disclose them to any third party without written authorisation from the Client.
12. This Purchase Order may be terminated by either party with sixty (60) days' written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the date of termination, less any amounts already paid.
