1. Governing Law: This Purchase Order and all architectural services rendered hereunder shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with specific reference to the Lagos State Building Control and Land Use Regulations and the Architects Registration Council of Nigeria (ARICAN) Code of Professional Conduct.
2. Professional Liability: The Architect (Ogunleye & Partners Architects) warrants that all design work, drawings, and specifications shall be prepared in strict compliance with the Nigerian Building Code, the Lagos State Physical Planning and Development Law, and all applicable federal and state regulations. The Architect shall maintain professional indemnity insurance with a minimum cover of NGN 50,000,000 for the duration of this Purchase Order.
3. Payment Schedule: Payment shall be made in three tranches: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon approval of detailed working drawings by the Lagos State Ministry of Physical Planning; and thirty percent (30%) upon successful completion and handover of all architectural documentation and site supervision duties.
4. Intellectual Property: All architectural drawings, designs, 3D models, and documentation produced under this Purchase Order for the Lagos project shall become the exclusive property of Eko Metropolitan Development Group Ltd. upon full payment. The Architect retains the right to use the work for portfolio and academic purposes with prior written consent.
5. Permits and Approvals: The Architect shall be solely responsible for preparing and submitting all documentation required to obtain building permits from the Lagos State Ministry of Physical Planning and Urban Development, the Lagos State Building Control Agency (LASBCA), and any other relevant regulatory bodies in Lagos, Nigeria.
6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be referred to mediation under the Lagos Multi-Door Courthouse. If unresolved within sixty (60) days, the matter shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004).
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government policy changes in Lagos, natural disasters, or national emergencies declared by the Federal Republic of Nigeria.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, site information, and commercial terms related to this architectural engagement in Lagos, Nigeria, for a period of five (5) years following project completion.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of architectural services in Lagos, Nigeria. This document constitutes a binding agreement between the Purchasing Entity and the Architect upon execution by both parties.
