The Architect shall be responsible for the full-cycle architectural development of a mixed-use residential and commercial complex situated on Vasilyevsky Island in Saint Petersburg. The project must comply with all applicable federal and municipal building codes of the Russian Federation, the urban planning regulations of the Saint Petersburg Committee for Architecture and Urban Planning, and the heritage preservation guidelines established for the Historical Centre of Saint Petersburg, a UNESCO World Heritage Site.

The Architect, under the authority of this Purchase Order, shall deliver the following scope of professional services:

In accordance with this Purchase Order, the Client shall remit payment to the Architect in the following installments, each contingent upon the Architect's satisfactory delivery of the corresponding milestone:

Milestone 1: 15% (1,035,000 RUB) upon execution of this Purchase Order and commencement of the feasibility study.

Milestone 2: 25% (1,725,000 RUB) upon Client approval of the Concept Design Package.

Milestone 3: 30% (2,070,000 RUB) upon delivery of the complete Working Drawing Set and successful submission to the Saint Petersburg Gosstroynadzor.

Milestone 4: 20% (1,380,000 RUB) upon completion of construction-phase supervision and issuance of the final supervision report.

Milestone 5: 10% (690,000 RUB) upon delivery of the as-built documentation and formal project handover.

All payments shall be made via bank transfer to the Architect's designated account in the Russian Federation. Invoices must reference this Purchase Order number (PO-RU-SPB-2025-04782) for proper accounting reconciliation.

4.1. The Architect warrants that all services rendered under this Purchase Order shall be performed in full compliance with the Federal Law of the Russian Federation "On Town Planning Activities" (No. 190-FZ) and the Saint Petersburg municipal building regulations.

4.2. The Architect shall maintain professional liability insurance with a minimum coverage of 10,000,000 RUB throughout the duration of this Purchase Order engagement.

4.3. All intellectual property rights in the architectural designs, drawings, and documentation produced under this Purchase Order shall vest exclusively in the Client upon full payment. The Architect retains the right to reference the completed project in professional portfolios with prior written consent from the Client.

4.4. The Architect shall not subcontract any portion of the architectural services without the prior written approval of the Client. Any approved subcontractor shall be bound by the same terms as set forth in this Purchase Order.

4.5. In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through mediation in Saint Petersburg. Should mediation fail, the dispute shall be submitted to the Arbitration Court of Saint Petersburg and Leningrad Oblast, Russian Federation.

4.6. This Purchase Order shall be governed by and construed in accordance with the civil law of the Russian Federation.
