Payment against this Purchase Order shall be made in milestone-based installments as follows: 20% upon execution of this order, 25% upon approval of Schematic Design, 25% upon issuance of the Building Permit by Jeddah Municipality, 20% upon completion of Construction Phase supervision, and 10% upon final handover and Post-Occupancy Evaluation. All payments shall be processed via bank transfer to the Architect's designated account in Saudi Riyal (SAR). Late payments shall accrue interest at the rate of 1.5% per month in accordance with Saudi commercial law.
3. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer and the Architect and is governed by the laws of the Kingdom of Saudi Arabia, including the Saudi Civil Transactions Law and the regulations of the Saudi Council of Engineers.
- The Architect shall maintain all professional liability insurance and shall be fully responsible for the accuracy, completeness, and code compliance of all architectural deliverables produced under this order in Saudi Arabia Jeddah.
- All intellectual property rights in the architectural drawings, models, and documentation created specifically for this project shall vest in the Buyer upon full payment. The Architect retains the right to use generic design methodologies and pre-existing libraries.
- The Architect shall comply with all Saudi Arabian labor, safety, and environmental regulations. Any subcontracting of portions of the architectural scope requires prior written approval from the Buyer.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the competent courts in Jeddah, Kingdom of Saudi Arabia, or to the Saudi Center for Commercial Arbitration (SCCA) at the parties' mutual election.
- This Purchase Order may be amended only by a written change order signed by both parties. No verbal modifications to scope, timeline, or compensation shall be valid.
- The Architect shall provide a dedicated project manager based in Saudi Arabia Jeddah who shall serve as the single point of contact for all communications, site coordination, and authority liaison activities.
- Confidentiality: Both parties agree to treat all project information, site data, and commercial terms as strictly confidential for a period of five (5) years following project completion.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government directives, or pandemics, provided written notice is given within 72 hours of the event.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for architectural services to be delivered in Saudi Arabia Jeddah. This document is executed in two (2) original copies, one for each party.
