This Purchase Order is issued by Meridian Development Group Pte Ltd to engage Studio Horizon Architects Pte Ltd as the lead Architect for the design and development of the Meridian Innovation Hub, a mixed-use commercial and residential complex to be constructed in the central business district of Singapore Singapore. - Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore, or alternatively, may be referred to arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- Architect's Professional Obligations: The Architect, Studio Horizon Architects Pte Ltd, warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a competent and experienced Architect practising in Singapore Singapore. The Architect shall hold a valid registration with the Board of Architects (Singapore) throughout the duration of this engagement.
- Payment Terms: Payment shall be made in accordance with the phased schedule outlined in Section 2. Invoices shall be submitted at the completion of each phase. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in Singapore Dollars (SGD) via bank transfer to the account designated by the Architect.
- Intellectual Property: All architectural drawings, designs, models, and documentation produced by the Architect specifically for this Purchase Order and this Singapore Singapore project shall become the sole property of Meridian Development Group Pte Ltd upon full payment. The Architect retains the right to use general design methodologies and pre-existing intellectual property.
- Insurance and Indemnity: The Architect shall maintain professional indemnity insurance with a minimum coverage of SGD 5,000,000 per occurrence throughout the term of this Purchase Order. The Architect shall indemnify the Buyer against any claims, losses, or damages arising from professional negligence or breach of this Purchase Order.
- Compliance with Singapore Singapore Regulations: The Architect shall ensure full compliance with all applicable legislation in Singapore Singapore, including but not limited to the Building Control Act, the Town Planning Act, the Environmental Planning Guidelines, and all URA development control parameters applicable to the project site in Singapore Singapore.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days written notice. Upon termination, the Architect shall be compensated for all services rendered up to the date of termination, and all work-in-progress documentation shall be delivered to the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, financial terms of this Purchase Order, and proprietary information exchanged in connection with this Singapore Singapore engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics, provided that the affected party notifies the other within seven (7) days of the occurrence.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Architect's standard terms of engagement, constitutes the entire agreement between the parties regarding the architectural services for this Singapore Singapore project and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and accept all terms and conditions set forth in this Purchase Order.
