- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board.
- Architect Qualifications: The Architect engaged under this Purchase Order must hold a valid architectural license issued by the Korean Institute of Architects and must demonstrate a minimum of ten (10) years of professional experience in commercial and residential projects within South Korea Seoul. The Architect shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of the project.
- Payment Schedule: Payments shall be made in accordance with the milestone schedule outlined in the line items above. Each payment is due within forty-five (45) calendar days of receipt of a valid invoice from the Architect. All payments shall be made via bank transfer to the account designated by Seoul Architectural Design Studio Co., Ltd.
- Intellectual Property: All architectural drawings, designs, models, and documentation produced by the Architect under this Purchase Order shall become the exclusive property of Hanbit Development Group Co., Ltd. upon full payment. The Architect retains the right to reference the completed project in professional portfolios subject to written approval from the Purchasing Party.
- Compliance with Local Regulations: The Architect shall ensure that all design deliverables comply with the Building Standards Act, the Urban and Regional Planning Act, and all applicable ordinances of the Seoul Metropolitan Government. The Architect is responsible for obtaining all necessary design permits and approvals from the relevant municipal offices in South Korea Seoul.
- Change Orders: Any modifications to the scope of services defined in this Purchase Order must be documented in a written Change Order signed by both parties. No additional work shall be performed by the Architect without prior written authorization from the Purchasing Party.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, financial terms, and proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the date of termination, and all completed deliverables shall be transferred to the Purchasing Party.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting South Korea Seoul.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Architect services in South Korea Seoul. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized representatives.
