This Purchase Order is issued by Nile Valley Construction & Development Co., Ltd. to engage the services of a licensed Architect for the design, planning, and architectural supervision of a residential and commercial mixed-use development project located in the Shambat district of Sudan Khartoum. The Architect shall be responsible for all architectural deliverables in compliance with the Sudanese Building Code, the Khartoum State Urban Planning Regulations, and the standards set forth by the Sudanese Engineers Syndicate.

3. PAYMENT TERMS

Payment shall be made in Sudanese Pounds (SDG) via bank transfer to the Architect's designated account at Bank of Khartoum, Shambat Branch. The payment schedule is as follows:

20% advance payment upon signing of this Purchase Order and submission of a performance bond equivalent to 10% of the total contract value.
30% upon approval of the Concept Design Package by the client's project committee.
25% upon issuance of the building permit by the Khartoum State Municipal Council.
15% upon completion of on-site architectural supervision.
10% upon final handover of as-built documentation and expiry of the warranty period.

4. TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between Nile Valley Construction & Development Co., Ltd. and the named Architect firm for the execution of architectural services in Sudan Khartoum.
The Architect shall hold a valid professional license issued by the Sudanese Engineers Syndicate and shall maintain professional indemnity insurance of no less than SDG 5,000,000 for the duration of the project.
All architectural deliverables must comply with the Sudanese Building Code (2022 revision), the Khartoum State Land Use and Planning Act, and the environmental impact assessment requirements of the Ministry of Environment, Sudan Khartoum.
The Architect shall not subcontract any portion of the architectural design work without prior written consent from the client. Supervision duties may be delegated to a registered assistant architect under the direct supervision of the Principal Architect.
Intellectual property of all drawings, models, and design documents created under this Purchase Order shall vest in the client upon full payment. The Architect retains the right to display the completed project in professional portfolios.
Any variation or change order to the scope of architectural services must be documented in writing and signed by both parties before execution. Variations exceeding 10% of the original contract value require a supplementary Purchase Order.
In the event of a dispute, both parties agree to first attempt resolution through mediation under the auspices of the Sudanese Engineers Syndicate, Khartoum Chapter. If unresolved within 30 days, the matter shall be referred to the competent commercial court in Sudan Khartoum.
This Purchase Order is governed by the laws of the Republic of the Sudan. All notices shall be delivered in writing to the addresses stated above.
The Architect shall comply with all applicable labor laws of Sudan, including the Sudanese Labor Act (2010), for any personnel deployed to the project site in Sudan Khartoum.
Force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Sudan Khartoum, shall extend the project timeline proportionally without penalty to either party.

5. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and accept the terms, conditions, scope of work, and payment schedule set forth in this Purchase Order for the engagement of the Architect in the development project located in Sudan Khartoum.
