This Purchase Order is issued by Siam Horizon Development Co., Ltd. to Bangkok Meridian Architects & Planners Co., Ltd. for the provision of comprehensive Architect services for the design, planning, and documentation of a mixed-use commercial and residential tower located in the central business district of Thailand Bangkok. The Architect shall be responsible for all phases of architectural design from concept through to construction documentation, in full compliance with the Building Control Act B.E. 2522 and all applicable regulations of the Bangkok Metropolitan Administration (BMA).

4. Terms and Conditions of this Purchase Order
- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Architect firm. The Architect shall return a signed copy within five (5) business days of receipt.
- Payment Schedule: Payment shall be made in milestones: 20% upon contract execution, 25% upon completion of Schematic Design, 25% upon completion of Construction Documentation, and 30% in equal monthly instalments during the Construction Phase. All payments are due within thirty (30) days of invoice receipt.
- Intellectual Property: All drawings, designs, models, and documentation produced by the Architect under this Purchase Order shall become the exclusive property of Siam Horizon Development Co., Ltd. upon full payment.
- Compliance: The Architect warrants that all deliverables shall comply with the Building Control Act B.E. 2522, the Bangkok Metropolitan Administration regulations, and all applicable Thai building codes specific to Thailand Bangkok.
- Insurance: The Architect shall maintain professional indemnity insurance of not less than 50,000,000 THB for the duration of the project in Thailand Bangkok.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Architect shall be compensated for all work completed and documented up to the termination date.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation under the rules of the Thai Arbitration Institute, with the seat of arbitration in Thailand Bangkok.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.
- Confidentiality: The Architect shall treat all project information, site data, and client details as strictly confidential and shall not disclose them to any third party without prior written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Thailand Bangkok.
