Payment for the architectural services outlined in this Purchase Order shall be made in Turkish Lira (TRY) via bank transfer to the Architect's designated account at Ziraat Bankası, Istanbul branch. The payment schedule is structured as follows: twenty percent (20%) upon execution of this Purchase Order; twenty-five percent (25%) upon approval of the conceptual design package; thirty percent (30%) upon submission of the detailed design documentation to the Istanbul Metropolitan Municipality; fifteen percent (15%) upon completion of construction-phase supervision; and ten percent (10%) upon delivery of the final as-built package. All invoices issued by the Architect must reference this Purchase Order number (PO-IST-2025-04782) and shall be payable within thirty (30) calendar days of receipt.
- The Architect warrants that all design deliverables shall be original, free from intellectual property infringement, and prepared in full compliance with the Turkish Building Law, Istanbul urban planning regulations, and the professional code of ethics of the Chamber of Architects of Istanbul (İstanbul Mimarlar Odası).
- The Architect shall maintain professional liability insurance with a minimum coverage of 5,000,000 TRY throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All project files, drawings, and digital assets produced under this Purchase Order shall become the exclusive property of the Client upon full payment. The Architect retains the right to reference the project in professional portfolios with prior written consent from the Client.
- Any changes to the scope of architectural services beyond the parameters defined in this Purchase Order shall require a written change order signed by both parties. No additional work shall be performed without such authorization.
- The Architect shall comply with all applicable data protection requirements under the Turkish Personal Data Protection Law (KVKK, Law No. 6698) when handling any personal information encountered during the project.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Institute (ISTAC). The governing law of this Purchase Order is the law of the Republic of Turkey.
- The Architect shall not subcontract any portion of the architectural design services without the prior written approval of the Client. Any approved subcontractors shall be bound by the same terms and conditions set forth in this Purchase Order.
- Force majeure events, including but not limited to natural disasters affecting the Istanbul region, shall be governed by Article 136 of the Turkish Code of Obligations. Neither party shall be liable for delays caused by such events, provided that written notice is given within five (5) business days.
The Architect shall adhere to the following milestone schedule for the Bosphorus Gateway project in Istanbul: Pre-design study completion by 15 August 2025; Conceptual design approval by 30 October 2025; Schematic design delivery by 31 January 2026; Detailed design and permit documentation by 30 April 2026; Construction supervision from May 2026 through April 2028; and Final as-built package delivery by 30 June 2028. Failure to meet any milestone without approved extension shall result in a penalty of 0.5% of the corresponding phase value per calendar day of delay, capped at 10% of that phase value.
