This Purchase Order is issued by Meridian Development Group Ltd (hereinafter referred to as the "Purchaser") to Blackstone & Associates Architects LLP (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and project management services in connection with the development of a mixed-use commercial and residential building located at the former industrial site on Corporation Street, Birmingham, B4 6AA, United Kingdom. The Architect shall be responsible for all stages of design from concept through to construction administration, in full compliance with the Town and Country Planning Act 1990, the Building Regulations 2010 (as amended), and all applicable local planning requirements of Birmingham City Council.

  1. Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
  2. Professional Standards: The Architect shall perform all services in accordance with the RIBA Plan of Work 2020, the JCT Design and Build Contract 2016, and the professional standards expected of a Chartered Architect registered with the Royal Institute of British Architects (RIBA). The Architect warrants that all personnel assigned to this project in Birmingham, United Kingdom shall hold appropriate professional qualifications and indemnity insurance of no less than £5,000,000 per claim.
  3. Payment Schedule: Invoices shall be submitted by the Architect upon completion of each RIBA stage. Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  4. Intellectual Property: Upon full and final payment under this Purchase Order, all drawings, models, 3D visualisations, and design documents produced by the Architect for the Birmingham project shall become the sole property of the Purchaser. The Architect retains the right to use the project for portfolio and marketing purposes, subject to the Purchaser's prior written consent.
  5. Planning and Regulatory Compliance: The Architect shall ensure that all design submissions comply with the Birmingham City Council Local Plan 2024, the United Kingdom Building Regulations, and all environmental legislation applicable to the West Midlands region. The Architect shall attend all planning committee meetings and pre-application consultations held by Birmingham City Council at no additional cost to the Purchaser.
  6. Insurance: The Architect shall maintain Professional Indemnity Insurance, Public Liability Insurance, and Employer's Liability Insurance throughout the duration of this Purchase Order. Certificates of insurance shall be provided to the Purchaser upon request.
  7. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Architect shall be entitled to payment for all services satisfactorily completed up to the date of termination, less any costs saved by the Purchaser.
  8. Confidentiality: Both parties agree to treat all project information, site data, and commercial terms as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government action, or pandemic-related restrictions affecting operations in Birmingham, United Kingdom.
  10. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to mediation under the CEDR Model Mediation Procedure. If mediation fails, the dispute shall be referred to arbitration in Birmingham, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the provision of Architect services in Birmingham, United Kingdom. This document constitutes a binding agreement upon execution by both parties.
